Scientific Games to Acquire Bally Technologies in Transaction Valued at $5.1 Billion

  • Combination Will Expand Global Capabilities to Deliver Innovative Gaming, Lottery and Social Content, World-Class Systems Solutions and Value-added Services Across Multiple Distribution Channels and Platforms

NEW YORK and LAS VEGAS (August 1, 2014) -- Scientific Games Corporation (Nasdaq: SGMS) ("Scientific Games") and Bally Technologies, Inc. (NYSE: BYI) ("Bally") today announced that the companies have entered into a definitive merger agreement whereby Scientific Games has agreed to acquire all of the outstanding Bally common stock for $83.30 in cash per share, which represents a 38 percent premium to Bally's closing stock price on July 31, 2014. The aggregate transaction value is approximately $5.1 billion, including the refinancing of approximately $1.8 billion of existing Bally net debt.  The transaction was unanimously approved by the boards of directors of the two companies.

"The combined company will feature world-class research and development capabilities, an expanded base of recurring revenues and greater worldwide penetration in key geographies, including the AustralAsia region. In addition to the strategic value of the transaction to our customers, we expect to create significant shareholder value as the transaction is expected to deliver immediate earnings and cash flow accretion and will allow us to meaningfully reduce our leverage over the next three to four years. Reflecting both organizations' recent post-merger integration successes, we have identified and expect to realize $220 million in annual cost synergies and $25 million of annual capital expenditure savings by the end of the second year following the closing of the transaction."

Expanded Portfolio and Improved Operating Efficiencies

The transaction would expand Scientific Games' portfolio of products and solutions to include leading casino management systems and table products, including automatic shufflers, proprietary table games and electronic table systems. It would also expand the range of Scientific Games' social and real-money iGaming and iLottery products and services.  This expanded portfolio is expected to position Scientific Games to better cross-utilize content and technology across the lottery, gaming and interactive sectors to propel future growth.

The combined company is expected to have world-class global sourcing, production, engineering and product development capabilities, as well as a large installed global base of diverse recurring revenue products and services. Scientific Games and Bally generated combined revenue of approximately $3.0 billion in the 12-month period ended March 31, 2014.

Scientific Games expects to achieve the anticipated $220 million of cost synergies and $25 million of capital expenditure savings by consolidating operations and generating efficiencies in the areas of manufacturing, engineering, field and customer service and administrative operations. Scientific Games anticipates incurring $75 million of costs to achieve the cost synergies and $40 million in capital costs to complete the integration of the companies. In addition, the combined company is expected to benefit from accelerated utilization of various tax attributes against U.S.-based pre-tax income.

Transaction Terms

Scientific Games would acquire all of the outstanding shares of Bally for $83.30 per share in cash, for a total transaction value of approximately $5.1 billion, including net debt of approximately $1.8 billion. The acquisition would be financed with debt and cash on hand and Scientific Games has obtained committed debt financing for the transaction, which is not subject to a financing contingency.

The acquisition is subject to customary closing conditions, including receipt of Bally shareholder approval and antitrust and gaming regulatory approvals, and is currently expected to be completed in early 2015.  Scientific Games and Bally are both licensed in more than 300 gaming jurisdictions worldwide, which is expected to help facilitate obtaining the required gaming regulatory approvals. 

Upon closing of the transaction, Mr. Isaacs will continue as President and Chief Executive Officer of Scientific Games, and it is anticipated that Mr. Haddrill and David Robbins, Chairman of the Board of  Directors of Bally, will join the board of directors of Scientific Games, with Mr. Haddrill anticipated to serve as Vice Chairman.

Financial and Legal Advisory

BofA Merrill Lynch, Deutsche Bank Securities Inc. and J.P. Morgan served as the financial advisors to Scientific Games and Cravath, Swaine & Moore LLP served as the legal advisor to Scientific Games for the transaction.  BofA Merrill Lynch, J.P. Morgan and Deutsche Bank Securities Inc. provided the committed debt financing for the transaction, and Latham & Watkins LLP served as the legal advisor to Scientific Games for such financing.

Macquarie Capital served as lead financial advisor and Groton Partners served as co-financial advisor to Bally and Skadden, Arps, Slate, Meagher & Flom LLP served as the legal advisor to Bally.

Gaming Laboratories International Establish Latin American Quality Assurance and Technical Compliance Unit

LAKEWOOD, New Jersey (July 31, 2014) – Currently celebrating its 25th anniversary, Gaming Laboratories International (GLI®), the world’s leading gaming testing laboratory and technical consultancy, has created a new dedicated unit within its Quality Assurance Department (QA) at its world headquarters in New Jersey.

Kentucky Lottery Breaks Sales and Dividend Records in FY14

Proceeds to State Come In Less Than Budgeted

LOUISVILLE, Kentucky (August 1, 2014) -- The Kentucky Lottery announced today in a board of directors meeting that sales for Fiscal Year 2014 were $858.9 million (including $15.6 million in free tickets). This breaks the old sales record established in FY13 of $846.6 million by 1.4%.

Those sales led to record-breaking profits returned to the Commonwealth. A total of $225.5 million was earned for the college scholarship and grant programs funded by the Kentucky Lottery, breaking the old record of $223.8 million. However, the Lottery was $4.5 million below what was budgeted by the Commonwealth for FY14 dividends. Unclaimed prizes, which are directed by law to the KEES scholarship reserve fund, were $8.1 million versus $9.2 million in FY13. In addition, the Commonwealth received $2.3 million in taxes withheld from prizes.

Scratch-off ticket sales were down slightly to $521.5 million versus their record-level $522.2 million in the last fiscal year. Draw game sales fell to $307.8 million, a decrease of 5.1% from sales of $324.4 million in FY13.

“Powerball was the primary factor which led to the decline in draw game sales in the past fiscal year,” said the KLC's Executive Vice President and CFO Howard Kline. “With the lack of major and sustained jackpots for the year, Powerball sales in Kentucky dropped $25.4 million. Our Mega Millions game helped make up part of that shortfall. That game exceeded last year's sales by $12.7 million, which was strong but not enough to make up the losses from Powerball.” Combined FY14 sales for Powerball and Mega Millions in Kentucky were $119.4 million, versus $132.1 in in FY13.  This is a $12.7 million or 9.6% decline.

Sales of the new Keno game were a bright spot in FY14. The game generated $29.4 million since its launch in November, up from the anticipated $28 million budgeted for FY14. As a result of the cost of launching the Keno game, operating expenses were up slightly in FY14 to $27.3 million from $26.4 million in FY13.

We're actively engaged in taking steps to improve our sales performance,” said the Lottery's President and CEO Arch Gleason. “We're making changes to our scratch-off program which we feel will bolster sales. We also continue to recruit new Keno retailers with the focus being on expanding sales of the game, and a new multi-state game set to be launched in October should significantly add to overall draw game sales.”

For 16 out of the past 21 years, we've broken sales records. We've also broken dividend transfer records in 16 years out of the past 21,” Gleason said.

Our dividends to the state – while also record-breaking – weren't as high as we wanted. It was a tough year in several respects, but we continue to work toward sales and dividend improvement. That's what the Commonwealth expects from us, and that's what college students receiving our scholarship and grant funds expect from us.”

According to the Kentucky Higher Education Assistance Authority (which administers Lottery-funded college scholarship and grant programs), since 1999 the Kentucky Lottery has funded $2,209,374,268 in college scholarship and grant programs for 569,542 students. The Lottery is the sole funding source for the KEES scholarship program, and also funds the need-based College Access Program and Kentucky Tuition Grants.

Since inception, the Lottery has sold $15.53 billion in tickets, returning $4.16 billion to the Commonwealth. Winners have received $9.35 billion in prizes, and retailers have been paid $976.1 million. Operating expenses have been held to 6.7% of sales (the FY14 operating expense level was 4.9%).

In other business, the board approved:

  • A lease extension for the Prestonsburg regional office and warehouse space;
  • An amendment to the agreement with Camelot Global Services (North America) for retailer operations assessment and related services;
  • Continuation of the employee incentive comp plan;
  • A new appointment to the retirement committee, and;
  • Rules and regulations for ten scratch-off tickets.

 

The next meeting of the KLC’s board of directors will be September 26. The meeting will begin at 9:30 AM EST, and will be held at the KLC headquarters at 1011 West Main Street in Louisville. Committee meetings will begin at 8:30 AM EST.

New Scratch-Off Games Give Lottery Players an Instant Chance at a Jackpot

RALEIGH, North Carolina (August 4, 2014) -- Some players enjoy playing Powerball, Mega Millions or Cash 5, picking their numbers and waiting for a drawing to see if they win the jackpot. For those players who would like an instant chance at a jackpot comes a new suite of jackpot-themed scratch-off games.

The four-game suite, which will begin to show up in stores on Tuesday, offers North Carolinians thousands of chances to win.

$50,000 Jackpot - Approximate odds of winning a top prize are 1 in 1.1 million. Approximate overall odds of winning including break-even prizes are 1 in 4.66.

$10,000 Jackpot - Odds of winning a top prize are 1 in 888,000. Approximate overall odds of winning including break-even prizes are 1 in 4.89.

MECN Special Reports - According to an Industry Survey, Only 30% of Mobile Gambling Revenue is New/Additional Revenue for Operators

LONDON / MUNICH, (July 24, 2014) -- For several years now the online gambling industry has declared the mobile channel its key growth driver. But the industry lacks more in-depth information regarding the mobile success story. Especially when it comes to the question of whether mobile revenues are new/additional revenue or "just" cannibalisation of existing revenue, most operators are keeping rather quiet. Therefore, the researchers at MECN analysed the mobile channel’s revenue sources in more detail for the company’s current Online Gambling Quarterly Report. Key finding: only 30% of mobile gambling revenue seems to be new/additional revenue for operators.

An important question is whether the new mobile revenue is additional revenue or "just" cannibalisation of existing revenue from the PC/desktop or the retail channel. So far, published information regarding this key question is strikingly limited. Therefore, MECN addressed this question in more depth in the most recent expert survey for its Online Gambling Quarterly Report - among the experts surveyed are many senior executives of the key online gambling operators.

Mobile is taking it from the PC/desktop business

Asked where mobile gambling revenue comes from, the experts mostly answered that it cannibalises the PC/desktop business (see exhibit below). With smartphones and tablets increasingly taking the place of the PC/desktop, naturally, in gambling the revenue also migrates from PC/desktop to mobile. In total, 56% of the experts surveyed believe this is a key revenue source of the growing mobile business. Nevertheless, there are likely differences regarding the games to be played - the less important the graphical user experience is, the more players will migrate to the mobile channels.

Increased ARPU through mobile offers follows swiftly as another key revenue source of mobile

The second most often chosen answer to the question about the revenue sources behind the mobile channel’s growth is that there is indeed new/additional revenue driven by increased revenue per customer. Some reasons for this are straightforward. For example, live betting is a key revenue part of today's online betting business, and it makes sense that customers want to be able to bet 24/7 everywhere.

Taking it from other operators with less attractive mobile offers

Another relevant revenue stream is coming from customers drawn away from other online operators that have limited or no mobile offers. So yes, this is new business for the operators concerned (with a premium mobile offer), but industry-wide this "new/additional" mobile revenue seems to be based "solely" on a migration of customers from "bad" to "good" mobile offers – a cannibalisation of the "bad" mobile offers.

MECN went even further and asked the experts to quantify the source of mobile gambling revenue: what percentage of the mobile revenue is new/additional revenue and what is cannibalisation of existing revenue? The results were conclusive: The experts believe that nearly 70% of the mobile gambling business is cannibalisation of either the PC/desktop or the retail business. Accordingly, only ca. 30% is new/additional business for the operators.

New Mexico Lottery Introduce Three New Scratchers

ALBUQUERQUE, New Mexico (August 5, 2014) -- In its “Super Tuesday” launch today, the New Mexico Lottery releases three Scratchers, including one game that celebrates the state’s insatiable appetite for chile.

The $2 “Red Chile Tripler” features top prizes of $3,000.

Games that celebrate the things that make New Mexico great are always very popular, especially the chile-theme games,” said Karla Wilkinson, New Mexico Lottery product director.  “Players just eat them up.”

The other two games in stores now are “Triple Payout,” a $1 game featuring top prizes of $1,000, and the $3 “$25,000 Cash Lines,” a $3 game featuring top prizes of $25,000.

The games launching today offer a variety of price points, prize levels and entertainment themes because it’s important to have something for every type of player,” Wilkinson said.

The lottery’s graphic design department produced a 15-second animated spot to advertise all three games on television.

South Carolina Education Lottery Sets New Records

COLUMBIA, South Carolina (August 4, 2014) – The South Carolina Education Lottery (SCEL) is setting new records. Fiscal Year 2013-14 saw record ticket sales and record deposits into the Education Lottery Account. SCEL also paid more to players in prizes and more to retailers in commissions. FY14 tied last fiscal year as the most cost effective year as the Lottery maintained low operating expenses.

Education Lottery Account transfers grew $23 million from last year to $323.4 million resulting in the most highly funded year for Education Lottery Account-funded educational programs. More than $3.4 billion has been transferred to education since the Lottery started in 2002.

Lottery customers walked away with more than $811.1 million in prizes during FY 2013-2014, a ground breaking amount in winnings most likely resulting in the most smiles on lottery players’ faces as well.

Lottery retailers saw record commissions from their lottery sales. More than $89.2 million was earned by lottery retailers in commissions and incentives in FY 2013-14.

Cost effectiveness in FY14 tied the prior fiscal year as the most efficient year for operating expenses which were $37.1 million. This amount includes all operating costs including game costs.

Overall lottery revenue resulted in more than $1.26 billion in ticket sales, permit fees and other items. This year’s ticket sales outgrew last year’s sales by $66 million.

The South Carolina Education Lottery is committed to providing needed educational funding for the citizens of the Palmetto State.

Proceeds from every dollar spent by players on the South Carolina Education Lottery are returned to the state in the form of funding for education, prizes, retailer commissions, and payment to contractors for goods and services

DOVER, Delaware (August 5, 2014) -- The countdown is on in the First State, with the start of the Pro Football preseason one day away, the Delaware Sports Lottery announces it will start its 2014 season with more than 80 Sports Lottery Retailers located throughout the state and a new Quick Pick option. Either the full or partial Quick Pick option is ideal for those players who are not sure which teams to choose since the teams are selected at random with this new option. Pro Football wagering is scheduled to begin Wednesday, August 6.

More than 80 retailers have signed on for the 2014 – 2015 season to offer Pro Football wagering to adults 21 and older in addition to Delaware’s Sportsbook locations at its three racetrack casinos. The 80-plus Sports Lottery Retail locations include select restaurants, pubs and existing Lottery agents throughout the state.

With the new Quick Pick option and even more Sports Lottery locations in 2014, it’s shaping up to be a very exciting year,” said Delaware Lottery Director Vernon Kirk. “We’ve seen amazing growth in the number of players, and winners, over the past few years. New Mexico Lottery Unveils Roadrunner Logo for Digital Era

ALBUQUERQUE - The New Mexico Lottery unveils a new logo today. "Our new logo keeps the iconic roadrunner because the bird is so important to the image of both the state and the lottery," said New Mexico Lottery CEO David Barden.

In the new interpretation, the roadrunner logo has been fine-tuned for digital media, an environment that didn't exist when the lottery was created 18 years ago. "We're entering a new era of great new games and fun promotions and our logo will help us tell that story to players whether they're in stores, watching TV, boarding a transit bus or checking mobile apps," Barden said.

A Logo for a Billboard and a Smart Phone

The logo was created by Joby Elliott, 28, who works for the lottery as a graphic designer. Before joining the lottery in 2008, Elliott attended the University of New Mexico on a Legislative Lottery Scholarship. The Socorro native studied studio art. "I owe my education and my career to a Legislative Lottery Scholarship," Elliott said. "If I can help the lottery be successful, then I can help all the college students following me be successful, too."

Elliott said the design was one of 12 rough concepts he presented to CEO Barden and the lottery's marketing staff. "This design stood out because it is familiar, but simpler and more compelling," Elliott said. "It will work whether it's 10-feet tall on a billboard or a quarter inch long on the screen of a smart phone."

The design is a refresh of the lottery's previous logo created in 1996. It featured multi-colored confetti raining down on a highly detailed roadrunner. Under the bird, an "old-west" typeface made the New Mexico Lottery's name appear to have been chiseled into a weathered wooden plank. When the logo was shrunk to fit small formats such as Facebook profile pics or mobile phone apps, all those details became difficult to recognize. -more-

In Elliott's reinterpretation, the iconic roadrunner is on the run. Details depicting the roadrunner's feathers have been eliminated to streamline the bird's profile and suggest forward movement. An elongated oval spiral represents the blur of the bird's running legs.

The wooden plank has been replaced by a raft of rolling lottery balls to further enhance a feeling that the bird is going places. A sans-serif typeface makes the New Mexico Lottery's identity easier to read. "The design is clean, bold and communicates a high-energy business," Elliott said.

And just as importantly, the new logo is "flexible." "It works well in a vertical, horizontal or animated format and we can use whatever color we need to make it pop off the page or the screen," he said.
