GTECH S.p.A. Announce Full Syndication of Up to $10.7 Billion Bridge Loan Credit Facility for Acquisition Financing of International Game Technology (IGT)

ROME (Italy) and PROVIDENCE (Rhode Island) (August 20, 2014) – GTECH S.p.A. (the Company) today announced that, in connection with the acquisition financing of International Game Technology (IGT), the Company has successfully fully syndicated a 364-day committed senior bridge term loan credit facility of up to $10.7 billion, of which approximately 45 percent is in Euros and approximately 55 percent is in U.S. dollars.

The bridge facility commitment is available to the Company for 15 months in accordance with the terms of the merger agreement.

The credit facility, led by Credit Suisse, Barclays, and Citigroup acting as Lead Arrangers & Joint Bookrunners, was syndicated among BNP Paribas, Credit Agricole, Deutsche Bank, Intesa Sanpaolo, JP Morgan Chase, Mediobanca, Societe Generale, The Bank of Nova Scotia, The Royal Bank of Scotland and UniCredit Bank, acting as Co-Lead Managers and Fifth Third Bank, acting as Manager.

Scientific Games and Bally Announce Early Termination of Hart-Scott-Rodino Act Waiting Period

NEW YORK and LAS VEGAS, (August 20, 2014) -- Scientific Games Corporation (Nasdaq: SGMS) ("Scientific Games") and Bally Technologies, Inc. (NYSE: BYI) ("Bally") today announced that the companies received notice of early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 ("HSR") with respect to Scientific Games' pending acquisition of Bally. The acquisition is expected to be completed in early 2015.

As announced on August 1, 2014, Scientific Games has agreed to acquire all of the outstanding Bally common stock for $83.30 in cash per share.  The acquisition will be financed with debt and cash on hand and Scientific Games has obtained committed debt financing for the transaction, which is not subject to a financing contingency.

Termination of the HSR waiting period satisfies one of the conditions required for completion of the transaction.  The transaction remains subject to approval by Bally's stockholders, receipt of certain gaming regulatory approvals and other customary conditions.

A Record-Smashing Year for the Virginia Lottery!

More than half-billion dollars generated for Virginia’s K-12 public schools

RICHMOND, Virginia (August 18, 2014) -- For the first time in 26 years of providing fun and games for the Commonwealth, the Virginia Lottery has recorded a half-billion-dollar profit year. The Lottery announced today that profits for Fiscal Year 2014, which ended on June 30, totaled a record $538.6 million. According to Virginia’s constitution, every dollar of Lottery profit benefits K-12 education in the Commonwealth.

The record profit for the year, which crushes the old record of $487.1 million set in FY12, is based on record sales of $1.81 billion. The Lottery grew sales by a healthy 7.2% during the year, through a combined effort of new Scratcher games, an exciting Mega Millions jackpot in December, a strategy of growing the number of people who play the Lottery in Virginia, a robust website with “extra” prizes and second-chance drawings.

Our efforts are based on the idea that it’s better to have a large number of people, each buying a few tickets, rather than a smaller number of people playing more,” said Virginia Lottery Executive Director Paula Otto. “We were able to grow the number of people playing by two percent, resulting in record profits for education in the Commonwealth.”

The total of $538.6 million in profit means the Lottery generated an average of more than $1.47 million per day for Virginia’s K-12 public schools. Lottery profits make up about 8 percent of Virginia’s education budget.

It wasn’t just schools that benefitted from the Lottery’s efforts during the fiscal year. Players won more in prizes than ever before: $1.08 billion.

Stores that sell Lottery tickets also benefitted, earning a record $101.5 million. Lottery retailers, many of which are small, community-based businesses, receive a 5 percent commission for every ticket sold, a 1 percent cashing bonus for all prizes redeemed, various sales incentives and a bonus for selling tickets that win prizes of $20,000 or more.

The Lottery sales staff places a priority on increasing the number of retailer partners and working to build sales with our existing partners,” said Otto. “Customers who come in to buy lottery tickets usually make other purchases as well, which is good for business, especially at smaller independent stores.”

The biggest winner of the year was Lewis Howard of Cumberland. On Halloween, he appeared at a news conference to claim the $99 million prize he won playing Mega Millions. He actually won the prize in May, but held on to the ticket more than five months before contacting the Lottery. It was the eighth Mega Millions jackpot won in Virginia since the game began in 2002. Mr. Howard bought his winning ticket in Farmville.

In December, the eyes of Virginia and the world were on a Mega Millions jackpot that eventually grew to $636 million. Although that jackpot was not won by a ticket bought in Virginia, sales of Mega Millions tickets in the Commonwealth during the weeks leading up to the December 17 drawing generated $16.3 million in profit.

Meanwhile, sales of Scratcher (also known as “instant”) tickets may not generate the headlines and excitement of a high jackpot, but they account for more than half of overall Virginia Lottery sales, and FY14 was no exception. Scratcher sales were a record $988.6 million, an 11.4% increase.

During Fiscal Year 2014, the Virginia Lottery celebrated its 25th birthday,” said Virginia Lottery Board Chairman Cynthia D. Lawrence. “We’ve come such a long way since the first ticket was sold in September of 1988. The consumer market has changed; tastes have changed, and so has the Lottery.”

Amid all the record-high sales figures, there was one record low for the year. The administrative rate, which is the cost of running the Lottery, was kept to just 5 percent of sales. That’s far below the 10 percent the Lottery is allowed by state law to spend on operations. The Lottery operates entirely on money generated by sales, not tax dollars.

We have a stake in keeping operating costs low and looking for savings wherever possible,” said Otto. “By operating in a responsible manner, we were able to turn over a record amount for Virginia’s K-12 public schools.”

It may seem surprising that each year millions of dollars in prizes go unclaimed. In FY14, players left more than $9.8 million on the table. By law, all unclaimed Virginia Lottery prizes go to the state’s Literary Fund, which is used solely for educational purposes, such as upgrading technology in schools and teacher retirement funding.

After celebrating its 25th birthday on September 20, 2013, the Virginia Lottery is now embarking on its second quarter-century of providing games and excitement for Virginians. The Lottery’s mission remains the same: “Contributing to Virginia’s future, one play at a time.

In the coming year, Virginians will have new games and added excitement at their fingertips. A new Virginia-only game, $1,000,000 Money Ball, will offer the best odds of becoming a millionaire of any current jackpot game. $1,000,000 Money Ball will replace Win for Life, which will end its successful run in September.

Let’s Bingo Idaho! Idaho Lottery Announce New Idaho-only Bingo Draw Game with $100,000 Jackpot

BOISE, Idaho (August 15, 2014) -- Bingo, Idaho! One of Idaho’s favorite past times is becoming the newest Draw Game from the Idaho Lottery.  Today, the Idaho Lottery announced that it is launching Idaho Bingo when tickets go on sale this Sunday, August 17, 2014 at 6 a.m. Mountain Time.  This is the first long-term, $5 Draw Game offered by the Idaho Lottery with an Idaho-only jackpot of $100,000. Tickets for this game are only available for sale in the State of Idaho.

Our players really enjoy Idaho-only Draw Games with big jackpots. Bingo is always fun to play and with draws on Wednesday and Saturday evenings, this game is already creating excitement,” said Jeff Anderson, Idaho Lottery Director. “And the jackpot prize of $100,000 is the highest ever offered for a bingo game in Idaho’s history.”

Beginning with the first draw on August 20, 2014 at 8 p.m. Mountain Time, the Idaho Lottery will draw 30 numbers from a pool of 75 numbers that players match to their draw-game Idaho Bingo ticket.  Idaho Bingo has eight different ways to win, up to the game’s jackpot of $100,000.

Each Idaho Bingo ticket is produced with a bingo grid that has randomly selected numbers in five columns: (B = 1-15, I = 16-30, N=31-45, G=46-60, O=61-75). There is a free space in the middle of every playing grid.  Players win by matching their numbers to those drawn and completing winning patterns. These patterns are printed on the ticket below the playing grid. All patterns must match a winning pattern completely. A one line, regular bingo wins a player a $5 prize while a diamond pattern wins the player the Idaho-only jackpot of $100,000.  Players may purchase a five week, 10 draw advance multi-draw ticket.

Players have several options to find out if they are holding a winning ticket.  Players are encouraged to watch and play along with Idaho Bingo on the Idaho Lottery’s website.  Each Wednesday and Saturday night shortly after 8 p.m., the Idaho Lottery will “broadcast” an animated draw show so players can truly play along while the numbers are being called.  If players have a smart phone (an iPhone or Android) they can use the Idaho Lottery’s free check-a-ticket app to check their tickets. New Mexico Lottery Beats Sales, Revenue Goals

ALBUQUERQUE, New Mexico (August 19, 2014) -- The New Mexico Lottery beat both its sales goal and its revenue goal for Fiscal Year 2014. 

Money raised for college students came to $40.9 million, beating a projection by $1.5 million.  It represents a return of 30.1 percent.

Ticket sales were $136 million, beating a target by $4.6 million.

We took many new approaches this year to win our players’ business, and players liked what they saw,” said Dan Salzwedel, chairman of the lottery’s board of directors.  “Our partnership with players, retailers and the legislative community continues to make it possible for our children to focus on their studies rather than on finding money to pay for tuition.”

Although the national Powerball® game didn’t reach the big jackpots that drive big sales, Salzwedel said players came out for a $648 million Mega Millions® jackpot and a record $890,000 Roadrunner Cash™ jackpot.  Sales from both drawing games were better than expected.  

Scratcher™ Sales Jump in Fourth Quarter

Thanks to a strong fourth quarter, Scratcher sales were $900,000 higher than projected.  

Salzwedel said the upward trend is the result of sales strategies developed by newly hired CEO David Barden.  The strategies include the “Super Tuesday” campaign, which launches three to five new Scratchers at the beginning of each month.  As a result, the availability of new games is now predictable to both stores and players and the lottery can better coordinate and integrate marketing activities for better reach and recall.

Barden also changed the lottery’s advertising mix.  Ads now run on the music-streaming service Pandora, transit buses and grocery “in-store” radio.  Scratcher tickets themselves now include “call outs” that advertise the prize total from that specific game.  To increase the exposure of games on network and cable television, Barden filled a vacant position with an animator to quickly and inexpensively produce advertising content from a desktop computer.

We are on a path of continuous improvement,” Salzwedel said.  “We are using our limited resources better than ever before for the students of New Mexico"

Sales and Forecasts by Product

 

 

Sylvia Jaramillo, the lottery’s chief financial officer, said a lack of attention-grabbing Powerball jackpots prevented the lottery from reaching last year’s sales of $141.8 million.  In Fiscal Year 2013, Powerball sales jumped 38.4 percent ($13 million) when the game reached record-high jackpots of $587.5 million and $590.5 million.  In Fiscal Year 2014, the best Powerball jackpot came to $448.4 million.

In Fiscal Year 2014, prizes totaled $74.1 million, including a $7.6 million Hot Lotto® jackpot won by Doug Barnard of Rio Rancho. Retailers earned $8.8 million for selling tickets and cashing prizes. 

In February, the lottery reached a fundraising milestone by passing the mark of $600 million.

Since its inception in 1996, the lottery has raised a total of $613.4 million for education in New Mexico.  More than 90,000 students have attended college on Legislative Lottery Scholarships, of which 43,400 students have already earned their college degrees.  More information about Legislative Lottery Scholarships is available at www.nmlottery.com.

Hoosier Lottery Transfers Over $250 million to the State of Indiana

INDIANAPOLIS, Indiana (August 19, 2014) - Hoosier Lottery officials today announced the Lottery is providing the State of Indiana with more than $250 million in surplus revenue for fiscal year 2014. The State uses the contributions to support the Build Indiana Fund, pensions for local firefighters and police officers and retirement funds for Indiana teachers.  

The record surplus revenue was made possible in fiscal year 2014 because of an outsourcing agreement between the State Lottery Commission of Indiana and GTECH Indiana, LLC, a wholly-owned subsidiary of Rhode Island based GTECH Corp. In October 2012, the Lottery finalized an integrated services agreement with GTECH Corp. for services in the areas of marketing, sales and distribution.

The $250 million in surplus revenue for fiscal year 2014 is a 12 percent increase from $224 million in fiscal year 2013. Although final audited figures will not be available until later this year, preliminary totals show sales were $1.018 billion for fiscal year 2014.

"We are pleased with the financial results achieved in the first full fiscal year of the Hoosier Lottery's contract with GTECH Indiana," said Sarah Taylor, Hoosier Lottery Executive Director. "Increasing Lottery revenue leads to more money for good causes that directly benefit Hoosiers." 

In fiscal year 2014, the Hoosier Lottery and GTECH Indiana reduced expenses, helping the Lottery come within $1.6 million of the bid net income goal of $256 million. GTECH Indiana has fulfilled its obligation under the integrated services agreement to fund the $1.6 million net income shortfall. 

"We are pleased with our first year of operation in Indiana," said Colin Hadden, GTECH Indiana COO and General Manager. "We look forward to continuing our collaboration with the Hoosier Lottery." 

Hoosier Lottery distributions benefit every county throughout Indiana. Each fiscal year, the Hoosier Lottery contributes $30 million to local police and firefighters' pensions and $30 million to the Teachers' Retirement Fund. Hoosier Lottery earnings also contribute to the Build Indiana Fund, which help reduce motor vehicle excise taxes by up to 50 percent. 

Since its inception in 1989, the Hoosier Lottery has transferred more than $4.5 billion to the State of Indiana for good causes. During that same period, Hoosiers won over $10.0 billion in prizes and retailers earned more than $1.1 billion on commissions.

Louisiana Lottery 2014 SAINTS Scratch-Off Offers $100,000 Top Prize

BATON ROUGE, Louisiana (August 18, 2014) -- As New Orleans Saints fans ask themselves whether this could be their year, the Louisiana Lottery is playing right along, launching its sixth $5 Saints-branded scratch-off game today. The 2014 SAINTS scratch-off is all about the Fleur-de-Lis, the team’s iconic logo, with three scenes emblazoned in shiny gold metallic ink. The game features four top prizes of $100,000 plus the opportunity to enter non-winning tickets into a series of second-chance drawings to win unique game-day prize experiences or official autographed Saints merchandise.

 “We upped our game with this year’s experience prizes that include exclusive access to areas of the Mercedes-Benz Superdome and game activities usually off-limits to fans,” explained Lottery President Rose Hudson. “When players don’t win an instant prize on SAINTS, they can use it to enter their favorite second-chance drawing to win a one-of-a-kind experience guaranteed to make this Saints season one to remember!”

Four second-chance drawings will involve a total of 31 winners. Also in each of the first three drawings, nine finalists will receive an official autographed Saints jersey, football or helmet. Australasian Gaming Expo Wows the Crowds

SYDNEY, NSW, Australia (August 15, 2014) -- The 25th annual Australasian Gaming Expo closed its doors yesterday leaving 180 exhausted but happy exhibitors to pack up and move out.

Once again, the AGE proved to be an outstanding success when gaming and hospitality executives from around the region packed the show floor to see and compare the world’s best and latest gaming and hospitality equipment.

The new temporary location proved to be up to the task with many visitors impressed by the natural ambient light, the range of on-site food and the ease of access.

One surprise for the organizers was that over a third of the visitors arrived at the new venue by ferry.

Crowds were excited to see a life sized replica of the Delorean used in the Back to the Future Movie, along with a chance to meet Dr Emmett Brown, the inventor of the flux capacitor.

On the second night of the show, around 40 Sales and Management staff from several 2014 exhibitors attended a cocktail party to celebrate 25 years of the Australasian Gaming Expo.

Representing 18 companies in total, these exhibitors all shared a common bond; they have exhibited continuously since our inaugural Expo held at Darling Harbour in 1990.

Planning is already well under way for next year’s Australasian Gaming Expo which will be on Tuesday 11 to Thursday 13 August 2015 at Sydney Exhibition Centre @ Glebe Island.

First Wyoming Lottery Ticket Will be Bought in Sheridan

8 additional winners from Casper, Cody, Rawlins, Rock Springs, Jackson, Shoshoni, Sheridan, and Wheatland

CHEYENNE, Wyoming (August 18, 2014) -- The Wyoming Lottery today announced that the first lottery ticket will be purchased at noon on Sunday, August 24,  by Mary Ogg at the Holiday Station, located at 936 Brundage Road in Sheridan.

Ogg was chosen randomly from among the more than 27,000 entrants in a giveaway the Lottery created to promote its upcoming launch.  The actual drawing was held on Saturday in order to verify entries. Wyoming Governor Matt Mead and Secretary of State Max Maxfield read the winners names today during a press conference at WyoLotto Headquarters in Cheyenne.

In addition to purchasing the first lottery ticket sold in Wyoming, Ogg also won a 2014 Jeep® Wrangler and free Mega Millions® tickets for a year.

Ogg is a 67-year-old grandmother who never thought that she would win anything and rarely enters to win contests. She entered to win the giveaway at 8:30 a.m. on Saturday and then went to Dayton with her husband. “When we came home at 2 p.m., I jokingly asked my husband if the light was blinking on the answering machine. He said yes it is. I said oh no. I pushed the button and heard a call at 1:15 p.m. and again at 1:20 p.m. and thought they really need me to call back. I hope that I am not too late."

Her choice of location was simple. "We buy most of my fuel at the Holiday Station so it made sense to pick a store that I go to."

Ogg came to Wyoming in 1969 to teach elementary school in Rock Springs where she met her husband Max. They have lived off and on in Wyoming over the years, moving for work, before returning to Wyoming to retire in Sheridan in 1998.

Secretary of State Maxfield also announced the names of eight other winners, who each won $1,000 and free Mega Millions® tickets for a year. The eight additional winners were drawn from entries received in each of the Wyoming Lottery’s eight geographical areas.

The Lottery is for all of Wyoming,” said Wyoming Lottery CEO, Jon Clontz. “So we wanted to ensure that the entire state was represented by our winners. The nine were randomly selected from the more than 27,000 giveaway entries that came from virtually every corner of Wyoming.”

To celebrate the occasion of the first ticket sale, the Wyoming Lottery will host a free BBQ with live music at the Holiday Store in Sheridan. The event is open to the public.

GBGA Takes Legal Action to Challenge “Illegal” British Gambling Law

GIBRALTAR (August 18, 2014) -- The Gibraltar Betting and Gaming Association {GBGA) has filed a legal challenge against a law introducing a new gambling licensing regime in the UK.

The GBGA argues that the new regime, introduced through the Gambling (Licensing and Advertising) Act 2014 and also the guidance and policies of the Gambling Commission of Great Britain, is “unlawful, because it is an illegitimate, disproportionate and discriminatory interference with the right to free movement of services guaranteed by Article 56 TFEU, and is irrational.”

Whereas the declared intent of the law is to protect consumers, the Association fears that it could achieve exactly the opposite and cause consumers real harm.

The absence of effective supervision and enforcement, coupled with the burdensome regulatory requirements, will encourage the growth of and migration to unregulated or poorly regulated operators which will present genuine risks to the British consumer”, the Association argues in its submission to the High Court of England and Wales. 

When introducing the New Licensing Regime, the Defendants rejected the option of a “passporting” regime. This would have been both less onerous to legitimate operators and more effective in protecting consumers, since it would have been based on effective supervision and cooperation between the GC and overseas regulators.”

The GBGA believes that the new regime was designed for economic reasons: to grant UK operators a competitive advantage over those from overseas. This objective, its counsel argues, is illegitimate.

Because the new licensing regulation will come into force on October 1st, the GBGA has asked for an expedited hearing of its case.

Peter Howitt, chief executive of the GBGA, commented: “It is extremely disappointing that our concerns have not been listened to by the UK Government, and that the Gambling Commission’s plans to expand its remit have been accepted.  The only beneficiaries of this change are the UK domestic industry and the Gambling Commission itself, which has persuaded the UK Government that it should be the global regulator of this high tech and complex industry.  It has neither the resources, the legal powers, nor the skills to operate successfully across the globe.  This is bad news for consumers, and for international competition.  We have an effective and knowledgeable regulator in Gibraltar.  That the Gambling Commission believes it is better placed to regulate the industry here is laughable.  We are determined to fight against measures that actually undermine consumer protection.”

Florida Lottery Announce $27 Billion in Transfers to Education

TALLAHASSEE, Florida (August 20, 2014) -- The Florida Lottery announces a new milestone of $27 billion in transfers to education since 1988.  In fiscal year 2014, the Lottery had record-breaking sales of more than $5.36 billion resulting in the transfer of $1.49 billion – more than $100 million a month to education.
