Cross-Border Merger of GTECH S.p.A. with and Into Georgia Worldwide PLC

  • Registration of the extraordinary shareholders’ meeting resolution with the Companies Register

ROME (Italy) and PROVIDENCE, Rhode Island (November 12, 2014) – GTECH S.p.A announced that on November 12, 2014 (the “Registration Date”), the resolution of the extraordinary shareholders’ meeting held on November 4, 2014 (the “Extraordinary Shareholders’ Meeting”) approving the cross-border merger terms of GTECH S.p.A. (“GTECH” or the “Company”) with and into Georgia Worldwide PLC, a company organized under the laws of England and Wales whose voting share capital is wholly and directly owned by GTECH (the “Merger”), was registered with the Companies Register of Rome. The minutes of the aforesaid resolution have been made available to the public on November 12, 2014 at the Company’s registered office and on the Company’s website at www.gtech.com, in the section entitled “Governance – Documents and Reports – Governance Documents – Shareholders’ and Noteholders’ Meetings – Extraordinary Shareholders’ Meeting November 4, 2014” as well as on the “1info” central storage device (www.1info.it).

GTECH shareholders who did not concur to the approval of the resolution concerning the Merger at the Extraordinary Shareholders’ Meeting (the “Entitled Shareholders”) are entitled to exercise the cash exit right (diritto di recesso) in accordance with Italian law (the “Cash Exit Right”), in light of the circumstances specifically described in the documentation related to the Merger, published by GTECH on its website at www.gtech.com in the section entitled “Governance – Documents and Reports – Governance Documents – Shareholders’ and Noteholders’ Meetings – Extraordinary Shareholders’ Meeting November 4, 2014”.

The liquidation amount relating to GTECH shares for which the Cash Exit Right is exercised has been determined in accordance with Article 2437-ter, para. 3, of the Italian Civil Code, and is equal to Euro 19.174 per share (the “Liquidation Amount”).

Cash Exit Rights can be exercised by Entitled Shareholders, in relation to all or a portion of their shares, by sending a registered letter (the “Cash Exit Right Notification”) to the Company pursuant to Article 2437-bis of the Italian Civil Code within 15 days of the Registration Date and, therefore, no later than by November 27, 2014, at “GTECH S.p.A., Corporate Affairs Department, Viale del Campo Boario 56/D, 00154 Rome”. The Cash Exit Right Notification must be submitted in a sealed letter with the words “Exercise of Cash Exit Rights” clearly indicated on the outside envelope. The Cash Exit Right Notification, which will be irrevocable, must provide: (i) personal data of the shareholder exercising the Cash Exit Right, tax code and, for procedure communication purposes, address, telephone number and, where possible, e-mail address; (ii) number of shares for which the Cash Exit Right is exercised; (iii) details of the bank account of the exiting shareholder to be credited with the Liquidation Amount due in relation to the shares for which the Cash Exit Right is exercised; (iv) details of the intermediary holding the shares for which the Cash Exit Right is exercised, together with details of the relevant account.

In addition – pursuant to Article 23 of the Bank of Italy-CONSOB Regulation of February 22, 2008, as subsequently amended – for the Cash Exit Right to be validly exercised any shareholder exercising such right must request that the intermediary holding the shares send to the Company, by certified e-mail (posta elettronica certificata) to recessogtech@legalmail.it, the appropriate communication (the “Communication”) certifying that:

(i) the exiting shareholder was, without interruption, the holder of record of the shares in relation to which the Cash Exit Right is exercised, from prior to the Extraordinary Shareholders’ Meeting until (and including) the date on which the Communication is issued. For the purpose of the aforesaid requirement, a shareholder will be entitled to exercise his/her Cash Exit Right if, having purchased the shares in the stock market, he/she has also received such shares as a result of the relevant settlement before the beginning of the Extraordinary Shareholders’ Meeting; and

(ii) the shares for which the Cash Exit Right is exercised are not subject to any pledge or any other encumbrance in favour of third parties; otherwise, the exiting shareholder must also attach to the Cash Exit Right Notification, for its admissibility, a declaration of the pledgee or of any other beneficiary of an encumbrance on the shares to the effect that such pledgee or other beneficiary irrevocably and unconditionally consents to the release of the pledge or other encumbrance on the shares, and gives his/her consent to the liquidation of such shares in accordance with the instructions of the exiting shareholder.

Shareholders exercising Cash Exit Rights are responsible for ensuring that any information provided in the Cash Exit Right Notification is correct and for sending such notification to GTECH no later than by November 27, 2014, as indicated above. The Company accepts no responsibility in this connection. Cash Exit Right Notifications sent after the above deadline, or lacking the required information, and/or not promptly accompanied with the Communication, will not be accepted.

Pursuant to Article 2437-bis, para. 2, of the Italian Civil Code, the intermediary issuing the Communication shall make GTECH shares, for which the Cash Exit Right is exercised, not transferable until such time as they are either transferred and the Liquidation Amount is paid in accordance with the liquidation procedure, or it has been verified that the Cash Exit Right Condition, as defined below, has not been satisfied. Should GTECH resolve to pay the payment of any dividends, of whatever kind, following the exercise of Cash Exit Rights, exiting shareholders will not be entitled to such dividends (except in the event that the Cash Exit Right Condition is not satisfied).

It should be noted that the effectiveness of the exercise of Cash Exit Rights is subject to the condition precedent of the High Court of England and Wales making its order approving the completion of the Merger and fixing the effective date of the Merger, and such order not having been cancelled or withdrawn (the “Cash Exit Right Condition”). It should be noted also that the Merger is subject, among others, to the condition precedent that the agreement executed on July 15, 2014 (as amended on September 23, 2014, the “Merger Agreement”), concerning the wider transaction related to the acquisition of International Game Technology (of which the Merger is part) is not terminated by GTECH following the exercise of Cash Exit Rights by shareholders of GTECH representing over 20% of GTECH shares outstanding at the date of signing of the Merger Agreement, as provided by the Merger Agreement.

Since the effectiveness of any Cash Exit Rights exercised by Entitled Shareholders is subject to the Cash Exit Right Condition, in the event that such condition is not satisfied the Merger will not be completed and the shares will continue to be owned by the shareholders who exercised the Cash Exit Rights, and such shareholders will not be entitled to receive the payment of the Liquidation Amount.

Pursuant to Article 2437-quater of the Italian Civil Code, the GTECH shares for which the Cash Exit Right is exercised by Entitled Shareholders shall be subject to a pre-emptive offer to all other shareholders in proportion to the number of shares owned by them (the “Pre-emptive Offer”). GTECH will start the Pre-emptive Offer promptly after the number of shares for which the Cash Exit Right has been exercised has been finally determined. In accordance with applicable law, a term of not less than 30 days from the deposit of the Pre-emptive Offer with the Companies Register of Rome will be given for the exercise of the pre-emptive right. GTECH shareholders exercising the respective pre-emptive right in the Pre-emptive Offer will have a right of first refusal to purchase shares remained not purchased in the Pre-emptive Offer, provided that such shareholders make a request concurrently with the exercise of the pre-emptive right. Any shares of exiting shareholders that remained not purchased may be offered for at least one trading day on the Mercato Telematico Azionario organized and managed by Borsa Italiana S.p.A. prior the completion of the Merger. In the event that, after any such offer, any shares remain unsold, such shares will be purchased by GTECH. GTECH will provide, within the terms set forth by the law, any relevant information regarding the liquidation procedure of shares subject to Cash Exit Rights. The liquidation procedure will itself be subject to the Cash Exit Right Condition. Therefore, the transfer of any GTECH shares for which Cash Exit Rights are exercised to the relevant purchasers and the payment to the exiting shareholders, through the respective intermediaries, of the Liquidation Amount in relation to the shares, will be carried out only after the Cash Exit Right Condition is satisfied and, therefore, only once the Merger is completed.

New Neighbour Lottery Game Unveiled for NorskTipping

Norsk Tipping Announce launch of Geolottery Nabor in Q1 of 2015

STOCKHOLM, Sweden, HAMAR/ Norway (November 18, 2014) -- Norsk Tipping has received final approval by Norwegian authorities to launch Nabolaget, the lottery where neighbours win together. The game is based on the original concept Nabor, created and developed by Swedish provider Genera Networks.

Appointment of New Chief Executive Officer For Singapore Pools (Private) Limited

SINGAPORE CITY, Singapore (November 18, 2014) --

Retiring Chief Executive Officer of Singapore Pools (Private) Limited

Mr Seah Chin Siong will be appointed as Chief Executive Officer of Singapore Pools (Private) Limited with effect from 1 January 2015, succeeding Mr Tan Soo Nan who is retiring after leading Singapore Pools for more than 12 years.

Mr Tan Soo Nan joined Singapore Pools in August 2002. Under his outstanding leadership, the company grew into a high-performance organisation built on a strong foundation of integrity and responsible gaming principles.

Mr Tan’s proactive approach and responsiveness to customers’ needs led to the introduction of Singapore Pools’ 24-by-7 phone betting service, the expansion of sports betting to include Formula One motor racing, and the setting up of four sports entertainment venues that offer live betting in a safe and legal environment to sports fans.

With his strong belief in creating shared value for the community, Mr Tan initiated the iShine programme to inculcate positive personal values among employees and to nurture their volunteering work in support of various meaningful causes. Today, about 40% of staff participates in iShine activities every year. Mr Tan’s heart for the less fortunate also led to the introduction of Singapore Pools “With A Heart” series of charity fundraising events, which raised about $2.6 million since 2010 to benefit numerous worthy causes

Mr Seah Chin Siong has held the post of Deputy Chief Executive Officer at Singapore Pools since October 2012. In his new role as CEO, Mr Seah will lead Singapore Pools into the next phase of development, while managing the intricate balance between economic and social considerations in a complex operating environment.

Prior to Singapore Pools, Mr Seah was the founding CEO of IDA International, a subsidiary of the Infocomm Development Authority of Singapore (IDA) under the Ministry of Communications and Information. During his stint there, he played an instrumental role in crystallizing IDA International’s mission and vision to help public agencies around the world harness infocomm-enabled capabilities for socio-economic outcomes.

Mr Seah brings with him many years of management consulting expertise as the former Managing Director of Accenture’s Public Service Operating Group for Asia-Pacific and Country Managing Director of Accenture Singapore. His 25-year experience spans across strategic planning, business development, change management and strategy formulation.

Singapore Pools welcomes Mr Seah Chin Siong and expresses well-wishes to Mr Tan Soo Nan on his retirement and deep appreciation for his numerous significant contributions to Singapore Pools.

National Lottery Campaign Celebrates 20 Years of Changing Lives

  • Month-long campaign celebrates 20 years of winners and raising billions for National Lottery-funded projects -Through-the-line campaign designed to enhance engagement and drive sales momentum

 

LONDON, UK (November 16, 2014) -- National Lottery operator Camelot is building up to the crescendo of a month-long, multi-phased campaign celebrating 20 years of changing lives. 

The National Lottery launched to a huge fanfare and incredible success on 19 November 1994, with its first ever Saturday night draw. The draw, and the nation’s brand new favourite game, was supported by what remains one of the most memorable and iconic ad campaigns of the last 20 years, under the ‘It Could Be You’ banner. Since then, The National Lottery has gone on to create more than 3,600 millionaires, awarded over £53 billion in prize money and raised more than £32 billion to support National Lottery-funded projects the length and breadth of the UK, making an unprecedented impact on communities and individuals everywhere.

Since early November, a through-the-line campaign has been gathering momentum and it will reach a peak of activity in the next two weeks in the run-up to two massive draws on Saturday 22 and Friday 28 November.  Containing an enormous range of activity throughout the entire month, the campaign launched on 1 November and will run through until 28 November, featuring integrated TV, outdoor, digital, in-store, press and bespoke social media activity

The overall objectives of the campaign are to celebrate the National Lottery projects supported and the winners created, as well as building engagement and excitement for the special Lotto and EuroMillions events.

Throughout November, National Lottery players are being treated to an array of bumper prizes on offer, including a special edition Scratchcard, offering 16 top prizes of £250,000; a Lotto draw on 22 November, which will create an incredible 20 guaranteed winners of £1 million each through the Lotto raffle; and a EuroMillions Mega Friday draw on 28 November, which will see 10 guaranteed millionaires created, each also winning the trip-of-a-lifetime, through the UK Millionaire Maker part of the game.

A special ‘Celebrating 20 Years’ gold ribbon logo was created to sit across all materials and on all channels. The first campaign activity broke in early November with the special edition £250,000 Scratchcard launching in retail outlets, accompanied by in-store and digital advertising.

Alongside this tactical product support, a TV and poster campaign is celebrating the difference that National Lottery funding has made, highlighting projects which have benefitted, such as Paralympic athletes, WWII veterans and community projects like Scout huts. The overarching ‘Play Makes It Possible’ message, which Camelot launched earlier this year, has provided a constant tagline on all creative work, alongside the gold ribbon logo.

The next phase of activity sees a spectacular giveaway through the National Lottery’s Facebook page and Twitter feed. For 10 days, up to and including Wednesday 19 November, at the same time each day – 6pm – a new eye-catching slow-mo video depicting a celebration, goes live.  The videos all feature a link to specially-created microsites, which ask a question related to 20 years of The National Lottery and which users must answer in order to enter that day’s competition.

Competition prizes in the first nine days centre around giving winners a taste of the millionaire lifestyle, for example, a meal in London’s Shard, a holiday on a yacht, a luxury spa break and a weekend in a castle. But the final day sees an incredible VIP trip-of-a-lifetime on offer to Florida, where the winner will be able to choose either a Walt Disney World adventure or a classy celeb-style Miami vacation.

The social media campaign was devised in conjunction with social media agency, Kindred, which also produced the slow-motion videos.

The final phase of the campaign features ads for the special Lotto draw, which break in print on 14 November and on TV during X Factor on Saturday 15 November. The 20-second ads will focus on winners, giving viewers a taste of what life as a lottery millionaire could be like. They will end with the now-familiar ‘Play Makes It Possible’ tagline, alongside the gold ribbon logo. Once the 22 November Lotto draw has taken place, from Sunday 23 – Friday 28 November, the campaign will switch to promote the EuroMillions Mega Friday draw, which leads on promoting 10 guaranteed millionaires and the accompanying non-cash prizes on offer.

Arkansas Lottery Marks Upswing in Instant Ticket Sales

LITTLE ROCK, Arkansas (November 13, 2014) -- For the first four months of Fiscal Year 2015, the Arkansas Scholarship Lottery has seen a steady rise in sales of its instant (scratch-off) tickets, which make up roughly 80% of its total annual sales.

We’ve seen a nice bump this year in our mid-range price points, the $3, $5, and $10 tickets,” Lottery Director Bishop Woosley said Wednesday. “The $10 ticket sales were especially strong, over 17% above this same period in 2013. The $3 are up over 7%, $5 are up over 6%, which helps make up for an expected decline in the $20 tickets.

Instant ticket sales are currently up $1,130,388 (1.1%) over the same four-month period in 2013. Though not a dramatic rise, the increase marks the first consistent increase in instant sales since 2012,” Woosley said. “We’re in the midst of our Fifth Anniversary marketing campaign, and I think the increased awareness has helped us,” he added.

People know the lottery now; know what it does to finance scholarships for Arkansas residents. Others have seen the new commercials and want to give it a try. Our new anniversary games seem to be popular with our players, and we’ve added a big box retailer, continuing to drive sales into 2015.

Woosley said he expects the rise in instant sales to continue through January, barring any severe weather which might keep players at home. “I’m keeping my fingers crossed that the holidays are mild,” he said. “Snow and ice are our enemies.

LGA Issues Consultation Document for Proposed Cloud Solutions for Remote Gaming Industry

MALTA (November 1, 2014) -- The Lotteries and Gaming Authority of Malta (LGA) has recognised the advantages and options cloud solutions provide to the remote gaming industry in general. It allows for significant cuts in infrastructure and operational costs, better management and allocation of IT resources, flexibility and scalability of operations.

However, the authority is cognisant of the fact that changing from one environment to another presents new challenges which operators and regulators alike are doing their best to address both from a policy and operational standpoint. It is the intention of the LGA to release guidelines for the Remote Gaming operators making use of cloud solutions. It will also allow facilities to be used as cloud service providers in defined circumstances for gaming transactions.

This consultation is proposing a sharper focus on long-standing principles, with a clearer explanation of why they are important from a policy and regulatory perspective.

We ask the gaming industry and wider interest groups to engage constructively with the questions raised in this consultation.

Performance of commercial sectors

The lottery industry says products 808.5 million dollars at the end of the semester, which represents a decrease of 5.5% compared to last year. The Tennessee Lottery marked the 100th winning million-dollar-or-more ticket in December 2012, nearly nine years after ticket sales began January 20, 2004. Since then—in slightly less than two years—the Lottery has sold another 50 winning tickets worth $1 million or more … including the record-setting $259.8 million Powerball ticket won in June by Roy Cockrum of Knoxville. All told, players have won more than $7.7 billion in prizes since inception.

There are more ways than ever to become a millionaire playing the Tennessee Lottery’s games. Last month, the Lottery launched its newest drawing-style game, MONOPOLY Millionaires Club™, an innovative multi-jurisdictional game offering three ways to win a million dollars or more. Just three weeks after the game’s launch, Tennessee became one of only 10 lotteries that had a $1 million winner from a MONOPOLY Millionaires’ Club drawing. Sport Betting Integrity Forum launches in central London

LONDON, UK (November 18, 2014) -- The Sports Betting Integrity Forum was launched on Monday, with FA Director of Football Governance and Regulation Darren Bailey acting as co-chair.

Among the the topics on the agenda where how British sport can further enhance and develop the existing comprehensive measures for preventing match-fixing and corruption.

The UK Government-backed Forum brings together representatives from sports governing bodies, betting operators, sport and betting trade associations, law enforcement and gambling regulation.

It is part of Britain’s Action Plan to address the risks of match-fixing other threats to sports betting integrity.

Today’s launch event at The Queen Elizabeth II Centre, in London, will see the Forum setting out its role in addressing the risk from match-fixing to the integrity of sport and sports betting and protecting Britain’s reputation for being a safe place to enjoy both.

It will also demonstrate in broad terms the roles of the partner organisations in Britain’s plans to address the threats and identify priority actions.

The FA’s Director of Football Governance and Regulation Darren Bailey, co-chair of the Forum, said: “British sport and its partner organisations take the matter of integrity with the utmost seriousness.

"The establishment of the Forum further demonstrates our long-term commitment to do all we can to protect the integrity of British sport, through working together, sharing best practice and learning from each other and other agencies”.

FRANCE (November 18, 2014) -- Today Ms Stéphane Pallez takes up her position as President and CEO of la Française des Jeux.

This appointment follows on the decree by the President of the Republic published today in the Official Journal which concludes a nomination process consisting of several steps:

  • General Assembly of FDJ nominated Ms Pallez as Member of the Board of FDJ on 21 October 2014
  • Board of Directors of FDJ proposed Ms Pallez as President and CEO on 21 October 2014
  • Hearings of Ms Pallez before the competent Committees of the National Assembly and the Senat who gave their approval of the nomination to the position of President and CEO of FDJ on 22 October 2014.

 

Stéphane Pallez states “I am very proud to join la Française des Jeux, a dynamic and popular company that contributes to the public interest. I intend to continue developing the responsible and sustainable model of la Française des Jeux in France and internationally. Stéphane Pallez began her career in 1984 at the Treasury Department, where she held various positions until 2004 (including Deputy Director at the board of the World Bank in Washington between 1988 and 1990). From 1991 to 1993, she was adviser on industrials matters to the Minister of the Economy and Finance. From 1995 to 1998 she was responsible for the Insurance Division. Between 1998 and 2000, within the department which became the Government Shareholding Agency (APE), Stéphane Pallez was in charge of a portfolio of public shareholdings (Banking and Insurance sector, High technologies, Transport, Energy). From 2000 to 2004 she held the position of Head of European and International Affairs of the Treasury Department.

From 1991 to 1993 she was also Technical Advisor in charge of industrial affairs to the

office of the Minister of Economy, Finance and the Budget (Minister of State at the time

was Pierre Bérégovoy, followed by Michel Sapin).

In 2004 Stéphane PALLEZ joined France Télécom-Orange as Director of Finance. In July 2011 she became President and CEO of the Central Reinsurance Fund (CCR - Caisse Centrale de Réassurance).

Furthermore, Stéphane Pallez holds some mandates as Member of the Board of several large companies and French organisations (CNP Assurances, GDF-Suez, Eurazeo, …). Stéphane Pallez is a graduate of the Institut d'Etudes Politiques de Paris and former student of the ENA (promotion Louise Michel).

The 5-digit game played twice daily in the District of Columbia has a top prize of $25,000 for a $.50 wager.

Players who double their ante to $1 have the chance to win $50,000. For Monday’s evening game, there were 11 winning tickets sold at the $50,000 level and a whopping 64 winning tickets sold at the $25,000 level.

Winning tickets were sold at 52 DC Lottery agent locations in every quadrant of the District. Some locations sold multiple winning tickets. The greatest number of winning tickets sold at one location was Patron Convenience, located at 3235 Pennsylvania Avenue, SE, where six winning tickets were generated—three for the $50,000 prize amount and three for the $25,000 prize.

This is the second time in the 32-year history of the DC Lottery that 6-6-6-6-6 has hit. The first was in July 2012 with $825,000 in total winnings.

Gaming Control Board Awards License to Stadium Casino LLP Project in South Philadelphia

PHILADELPHIA, (Nov. 18, 2014) -- The Pennsylvania Gaming Control Board today awarded a Category 2 license to Stadium Casino, LLP which will permit the operation of a casino at 900 Packer Avenue in Philadelphia. Stadium Casino, LLP is a joint venture between Greenwood Gaming & Entertainment, LP which currently operates the Parx Casino in Bucks County, Pennsylvania and the Cordish Companies which operates both the  Maryland LIVE Casino near Annapolis, Maryland and the Xfinity LIVE entertainment complex in Philadelphia.

The award, made unanimously by the seven-member Board at a public meeting at the Pennsylvania Convention Center in Philadelphia, is the fifth and last award of a Category 2 stand-alone casino license permitted under the Pennsylvania Race Horse Development and Gaming Act, which further stipulated that this facility must be located in Philadelphia.

The Board has previously awarded four Category 2 licenses in Bethlehem, Pittsburgh, Wilkes-Barre and Philadelphia.  All are in operation.

The award concludes a process the Board began two years ago that started with the receipt of applications, a lengthy and in-depth background investigation of each applicant, public input from citizens, community groups and public officials, and additional evidence garnered at public hearings.

The three remaining applicants that were considered but not awarded the license were:

Tower Entertainment which proposed The Provence;

Market East Associates which proposed Market 8 Casino; and,

PHL Local Gaming LLC which proposed Casino Revolution

Prior to commencing operations, a $50 million license fee must be paid to the Commonwealth by Stadium Casino, LLP for a slot machine license along with an additional $24.75 million fee for a Table Games certification.

"This was a challenging decision involving four substantial proposals, but in the end we all felt that the Stadium Casino  project best fit the intent of the Gaming Act and was best overall for Pennsylvania," said Board Chairman William C. Ryan, Jr.

Ryan added that the final Order of the Board on this matter along with the Adjudication setting forth the reasons for the Board's decision and detailing the reasons for granting Stadium Casino, LLP a gaming license would be issued by the close of business today via the Board's web site, www.gamingcontrolboard.pa.gov.

Under the Gaming Act, any party to the licensing proceedings would have 30 days from the date of the issuance of the Order and Adjudication to file an appeal of the Board's decision to the State Supreme Court.  The parties with standing would include all losing applicants in this licensing decision as well as any other party which was granted intervention in the proceedings.

With today's decision, the Board has now awarded 13 licenses with 12 casinos in operation. Of those, there are six Category 1 licensed facilities at horse race tracks and four Category 2 stand alone casinos, all of which can operate up to 5,000 slot machines and 250 table games.  In addition, two Category 3 casinos located at existing resorts are in operation.  Those can operate a maximum of 600 slot machines and 50 table games.  The Gaming Act permits one additional license at this time, to a qualified licensed harness race track.

There is currently a holder of that license in Lawrence County which has submitted an application for that remaining license. There is no timetable for considering that award.
