SETTLEMENT OF CASH EXIT RIGHTS

ROME (ITALY) and PROVIDENCE, RHODE ISLAND (U.S.), April 1,2015 - GTECH S.p.A. ("GTECH") announced today that all conditions precedent to the completion of the cross-border merger of GTECH with and into its U.K. subsidiary International Game Technology PLC (the "Merger") have been satisfied. The Merger will become effective at 12:01 a.m. GMT on Tuesday, 7 April 2015, and immediately thereafter the acquisition of U.S.-based International Game Technology will be completed. On such date, GTECH shares held by GTECH shareholders will be exchanged on a one-for-one basis for shares in International Game Technology PLC, and shares of International Game Technology will be exchanged for a cash payment and shares in International Game Technology PLC on the basis of the exchange ratio

The shares of International Game Technology PLC (Ticker Symbol: IGT; ISIN code GB00BVG7F061) will commence trading on the New York Stock Exchange (NYSE) on 7 April 2015.

The last day of trading of GTECH shares on the Mercato Telematico Azionario organized and managed by Borsa Italiana (Italian Stock Exchange) will be Thursday, 2 April 2015. Therefore, the record date for final settlement of GTECH shares will be 8 April 2015

Upon the Merger becoming effective, International Game Technology PLC shares will be centralized in the CSD (Central Securities Depository) The Depository Trust & Clearing Corp. ("DTCC") and credited in lieu of GTECH shares (based on the balance of accounts as at the record date) initially via Computershare Trust Co. N.A. or, in relation to the shares for which the DTC Election has been exercised (designated by the specific code ICMTE0000019), via the respective intermediary participating in the clearing system managed by DTCC.

Settlement of cash exit rights

The 19,796,852 GTECH shares for which entitled shareholders exercised cash exit rights in relation to the Merger will be settled on 2 April 2015, at the cash exit price of Euro 19.174 per share. The cash exit price will be credited to entitled shareholders via the respective Monte Titoli intermediary.

Payment for the 62,607 cash exit shares (out of the above) purchased by other GTECH shareholders in the pre-emptive offer pursuant to Article 2437-quater, of the Italian Civil Code, ended on 9 January 2015, will take place via the intermediary through which the subscription form was submitted by the purchaser and to which notification of assignment has already been communicated by GTECH. Purchasers of shares in the context of the pre-emptive offer will receive ordinary shares of International Game Technology PLC on the basis of the above-mentioned exchange ratio and the interim dividend equal to Euro 0.75 per share resolved by GTECH's Board of Directors on 17 December 2014.

The residual 19,734,245 cash exit shares will be purchased by GTECH pursuant to Article 2437-quater, para. 5, of the Italian Civil Code and cancelled in the context of the Merger, together with the 2,183,503 treasury shares already held by GTECH.

INTRALOT Announce 2014 Full Year Results

Revenues Exceed €1.85 Billion

17.3% Cash Flow Increase

ATHENS, Greece (March 31, 2015) -- INTRALOT, the leading international gaming company, today announces its financial results for the twelve-month period ending December 31st, 2014, prepared in accordance with IFRS.

INTRALOT Group's Consolidated Revenues for FY2014 grew by 20.4%, to €1,853.2m from €1,539.4m in the FY 2014 period, an increase of €313.7m. Net of a negative FX impact of €82.0m, revenues reached €1,935.2m, posting an increase of 25.7% y-o-y in FY 2014.

EBITDA decreased by 10.0%, to €175.4m and adjusted for write-offs and provisions of €10.1m it reached €185.6m, a decrease of 10.1%.Net of a negative FX impact of €13.0m, EBITDA reached €188.4m in FY 2014, a decrease of 3.3% y-o-y in FY 2014. EBT decreased by 31.8%, to €36.5m. Adjusted for write-offs and provisions of €11.7m, EBT decreased by 28.4% to €48.2m. Net of a negative FX impact of €12.5m, EBT reached €49.0m, posting a decrease of 8.4% y-o-y in FY 2014. Net profit after minorities for the period was shaped at a negative €49.5m. Adjusted for write-offs and provisions of €9.9m NIATM was €-39.6m.

Cash Flow from Operations reached €95.4m in the FY 2014 period, increased by 17.3% compared to the same period of 2013 (€81.3m). Net Debt in the FY 2014 period was shaped at €381.4m, decreased by 19.9m compared to the 9M 2014 period (€401.3m).

Revenues for the parent company during FY2014 decreased by 43.2%, to €85.7m. EBITDA decreased by 13.3% to €20.1m from €23.1m in FY 2013. Earnings After Taxes (EAT) decreased to €-11.0m from €-0.1m in FY 2013.

Commenting on the FY 2014 Results INTRALOT Group CEO, Mr. Antonios Kerastaris, noted: "In 2014 INTRALOT delivered a set of results that focused on cash flow generation leading to the improvement of its net debt position by 20m, and at the same time growing its top line and maintaining almost unchanged its EBITDA on a constant currency basis."

It is worth noting two recent developments that augment our license and contracts portfolio: In Azerbaijan we obtained a 10-year exclusive license to offer horse racing games, in addition to our sports betting and greyhound game licenses, a move that will strengthen further our position in this lucrative gaming market. Moreover, our existing exclusive sports betting license was extended by an additional five years, up to 2025. Both developments are in-line with our strategy to pursue a B2C business operation model. Finally, we recently extended our facilities management and marketing services contracts for all games (including numerical, instants, sports betting and Internet) offered in Morocco, a gaming market that has significant upside potential, for two additional years, up to August 2017.

As the gaming industry undergoes significant regulatory and technological changes, large scale mergers and a shift of focus towards the final consumer through a B2C model of operation, INTRALOT during 2014 proceeded to a reorganization of its structure and strategy so as to better respond to the challenges of its sector. Scientific Games Sign Contract to Provide 5,000 Video Lottery Terminals in Greece Under 10-Year License Agreement

LAS VEGAS, Nevada (March 31, 2015) -- Scientific Games Corporation (NASDAQ: SGMS) ("Scientific Games" or the "Company") today announced that it has signed a contract to provide OPAP S.A. ("OPAP") with 5,000 video lottery terminals ("VLTs") pursuant to OPAP's 10-year license to operate a network of 16,500 VLTs across the country. Deployment is expected to begin in spring 2015 and conclude by the end of the year.

The Hong Kong Jockey Club Awarded the Highest Level International Accreditation on Responsible Gambling

HONG KONG, SAR (March 27, 2015) -- The Hong Kong Jockey Club (the Club) has just been awarded the highest level of accreditaion under the Responsible Gambling Framework of the World Lottery Association (WLA). This is the second time the Club received this recognition and marks a new milestone in responsible gambling practices in the region as the Club is the first in Asia to attain the honour.

The Club was granted the Level 4 (the highest level) in 2011 and the accreditation must be recertified every three years.

There are four levels of accreditation and after being judged by a panel of independent international experts in sustainability and corporate social responsibility, the Club was recertified at the highest level in March 2015. The accreditation requires gambling operators to demonstrate their continous commitment in promoting responsible gambling.

To achieve Level 4, operators must adopt the 10 responsible gambling principles into their day-to-day operations and decision making. These principles cover game design, stakeholders engagement, employee training, public education, problem gambling treatment services referral and monintoring effectiveness of the responsible gambling measures.

The Club is a pioneer in promoting responsible gambling in Hong Kong. In 2003, the Club allocated HK$24 million for the government to set up the Ping Wo Fund, an independent body dedicated to address gambling-related social problems in Hong Kong. The Club’s contributions to the Ping Wo Fund, has increased over the years from $12 million in 2003 to $45 million per annum this year. With our latest four-year commitment commencing this year, our total contributions will exceed HK$362 million by 2018/19. Over 15,000 problem and pathological gamblers have recevied counselling from the four treatment centres supported by the Ping Wo Fund over the years.

Michigan Lottery Expands Players Club to Include Online Games

LANSING, Michigan (March 31, 2015) -- The Michigan Lottery’s Players Club is being expanded to include online games, offering players a new way to earn Players Club points.

Starting Wednesday, players of the Lottery’s online games automatically will begin earning Players Club points. Players will earn two points for each $1 spent on online games.

Players Club points awarded for online game purchases will be added to player accounts within 48 hours of play.

There is no limit on the number of Players Club points that players may earn through online game play.

Points will be awarded based on total online game tickets purchased per day.

Players will be awarded only whole point totals. All Players Club points are good for one year from the date they are posted to a player’s account.

The Players Club is a free program that gives Lottery players the chance to accumulate points by entering codes from non-winning instant, pull tab, and draw game tickets, and, starting Wednesday, through online game play.

Points may be redeemed for entries into drawings for prizes and once-in-a-lifetime experiences or for merchandise, including Lottery free-play coupons.

UK Gambling Commission Launch Consultation on Its 5th edition of Guidance to Licensing Authorities

LONDON, U.K. (March 30, 2015) -- Following special events hosted by the Gambling Commission's Local Authority Liaison Unit (LALU), the Commission has now published its proposed changes to Guidance to licensing authorities (GLA) in a new 5th edition.

The Commission is required to issue statutory guidance on the manner in which licensing authorities exercise their functions under the Gambling Act 2005 (the Act), and GLA is the principal guidance to licensing authorities on gambling related matters.

Since the previous revision in September 2012, there have been a number of regulatory and legislative changes and the guidance has been updated to reflect those. More importantly, it reflects the considerable developments in partnership working between the Commission and licensing authorities and reinforces our positive shared approach to regulation.

Other drivers for the proposed amendments to the guidance are to:

  • reflect recent changes to the social responsibility provisions within the Commission's Licence conditions and codes of practice
  • promote local partnership working between licensing authorities and local gambling operators to facilitate a coordinated approach to local issues
  • provide greater clarity about the wide range of powers afforded to licensing authorities to manage local gambling regulation through measures such as their statements of licensing policy.

The 5th edition starts with a strong narrative emphasising the role and powers of licensing authorities, and the benefits of partnership working and a coordinated response to local issues. It gives a mandate to licensing authorities to manage local gambling provision and sets out the extent of their discretion in that respect. The guidance reinforces the powers that licensing authorities have under s.153 of the Act, as well as encouraging the use of other statutory powers and involvement of other agencies.

Philip Graf, the Commission's Chair, said:

"The revised guidance emphasises the critical role of each local licensing authority's statement of licensing policy. This forms the mandate for licensing authorities to manage local gambling provision in a way that makes sense to their local communities and businesses. Licensing authorities' assessment of risk, alongside new social responsibility requirements on operators to assess the local risks to the licensing objectives at each of their premises, will encourage the adoption of measures to specifically mitigate local risks."

The consultation provides an opportunity for stakeholders to comment on the proposed changes and to make any other suggestions, including on future revisions of the guidance. The Commission is keen to hear views from licensing authorities, gambling operators and those with an interest in the local regulation of gambling. The closing date for responses is 22 June 2015.

Kentucky Lottery Sales Continue to Trend Ahead of Last Year

LOUISVILLE, Kentucky (March 31, 2015) -- In Friday’s meeting of the Kentucky Lottery Corporation’s (KLC’s) board of directors, the board learned the sales trend established early in the fiscal year continues to hold true through February – overall sales are ahead of where they were last year, but remain below budget.

According to the KLC’s Vice President of Finance Rick Kelley, the one product line not following this trend was instant tickets. Year-to-date scratch-off ticket sales in the period from July through February were $359.6 million, which was $9.3 million more than budget and $21.1 million more than the same period last year.

Overall draw game sales for the same period though were $197.5 million, which is $25.8 million less than budget and $13.9 million less than the same period last year. This decline was being led by the multistate games Powerball and Mega Millions. These two products year to date have sold $70.6 million, which is $16.7 million down from last year and $19.4 million below budget. Keno sales were $30.4 million, $4.2 million less than budget but $15.8 million more than last year. Pick 3 sales are trending upward though, finishing the period $4.7 million more than last year and $3.7 million more than budgeted.

Overall sales for the period were $587.5 million,” Kelley said. “That’s $23.1 million more than last year, but that number still falls $20.7 million below budget for the fiscal year.” With total sales being below expectations, fewer dollars will be available for transfer to the Commonwealth. Income before transfer of dividends for the year-to-date period was $153.7 million, which is $3.2 million more than last year but $6.9 million less than budgeted. As a result, the board voted to reduce scheduled payments to the Commonwealth for the next two months by $2 and $3 million, with final transfers for the year to be set at the board’s next meeting.

A solid Powerball run of $564 million in February helped the game recover somewhat from a disappointing year,” said the KLC’s Executive Vice President and CFO Howard Kline. “Powerball sales in February were $10.7 million, but even with this bump the lackluster jackpots of most of the past year have led to a drop of $11.9 million in Powerball sales as compared to last year. We’re hoping for a couple of good solid jackpot runs before the end of the fiscal year to help with profitability.” Kline also said bad weather during February cost the KLC an approximated $5 million in sales.

The things we have control over – such as our scratch-off tickets – are doing really well,” said the KLC’s President and CEO Arch Gleason. “It’s what we have no control over – primarily the multi-state jackpot games that have seen very few good runs over the course of the year – that has affected our bottom line. Powerball and Mega Millions are our most profitable products, and the sales hit we’ve taken there has definitely affected our overall profitability.”

In other business, the board approved the extension of several contracts, including:

  • Goldberg Simpson LLC and Valenti Hanley and Robinson PLLC for legal services, and;
  • Blue and Company for draw audit services;
  • USI Insurance Services for directors and officers liability insurance.

Additional extensions with Smartplay International, Affiliated Forensic Laboratory Inc., Garron Lottery Products, Gaming Laboratories International, Neilsen Audio and Delehanty Consulting were also approved, along with rules and regulations for eleven scratch-off tickets.

The board also elected June Hudson as chairperson. The former commissioner of the Kentucky Department of Parks from Benton, Kentucky is the first woman to ever hold this post in the history of the Kentucky Lottery. Louisville Attorney Benham J. Sims III was elected vice chair.

Gleason reported Powerball game changes planned for July have been postponed to a later date. The Monopoly Millionaires Club instant game is now scheduled to start in late April. The new multi-state game Lucky for Life got off to a good start last week with sales exceeding $200,000. Reports were also made on the results of this year’s General Assembly session and a recent trip to Washington, D.C. by Gleason and General Counsel Mary Harville to meet with the staff and some members of Kentucky’s Congressional delegation.

The next meeting of the KLC’s board of directors will be May 29th. The meeting will begin at 9:30 AM EST, and will be held at the KLC headquarters at 1011 West Main Street in Louisville. Committee meetings will begin at 8:30 AM EST.
