GTECH S.P.A. Sign Agreement for €800 Million Four-Year Term Loan Facilities

Additional reduction in bridge facility commitment for acquisition of IGT to $4.9 Billion from the Original Amount of $10.7 Billion

ROME (ITALY) and PROVIDENCE, RHODE ISLAND (U.S.), (January 30, 2015) -- GTECH S.p.A. (“GTECH”) entered into a €800 million four-year senior facilities agreement with BNP Paribas, Intesa Sanpaolo, Mediobanca and UniCredit.

The agreement provides for two €400 million term loan facilities to GTECH which may be used for general corporate purposes, including repayment of existing indebtedness. Upon completion of the previously announced merger of GTECH with and into Georgia Worldwide PLC ("NewCo") which is being effected in connection with the acquisition by GTECH of International Game Technology ("IGT"), NewCo will become the borrower under one of the term loan facilities and a principal Italian operating subsidiary will become the borrower under the other term loan facility.

Subject to customary limitations, both facilities are fully and unconditionally guaranteed by GTECH Corporation and, upon completion of the GTECH-NewCo merger, will be fully and unconditionally guaranteed by certain subsidiaries of NewCo.  Upon completion of the GTECH-NewCo merger, the term loan facility borrowed by the principal Italian operating subsidiary will be fully and unconditionally guaranteed by NewCo.


The term loans will be repayable in full at maturity and will bear a variable interest rate based on certain credit ratings.  The agreement provides for standard covenants and restrictions which are substantially identical to those found in the senior facilities agreement dated November 4, 2014 for the multicurrency revolving credit facilities made available to GTECH and GTECH Corporation.

Following the outcome of the previously announced tender offer and consent solicitation with respect to GTECH S.p.A.'s €750,000,000 Subordinated Interest-Deferrable Capital Securities due 2066, the commitment for GTECH's 364-day senior bridge term loan credit facility (the "Bridge Facility") for the financing of the acquisition of IGT has been further reduced to $4.9 billion (the original amount was $10.7 billion).

The Global Lottery Monitoring System for Sports Betting Holds Its First General Assembly

BRUSSELS, Belgium (January 22, 2015) -- The Global Lottery Monitoring System (GLMS) for sports betting held its inaugural General Assembly on Wednesday, January 21, 2015, in Brussels, Belgium. This meeting marks the establishment of the GLMS as a non-­profit association, mandated by the world lottery community to monitor sports betting activity for irregular betting patterns in an effort to combat corruption in sports.

The impetus to establish such a monitoring system came through a joint effort of the World Lottery Association (WLA) and the European State Lotteries and Toto Association (EL) in 2012. The GLMS will be built upon the existing European Lottery Monitoring System (ELMS) for sports betting, which was established by the EL and has been officially operational in Europe since 2009. The GLMS will implement the most up-­ to-­date technology, offering its members global coverage on sports betting activity, service around the clock 365 days a year, and automatic alerts on live betting.

At the GLMS's inaugural General Assembly, the bylaws for the new association were adopted and the association's first Executive Committee was elected. The GLMS Executive Committee consists of seven members. Three of the members are elected to the Executive Committee by the delegates of the GLMS General Assembly. The WLA and the EL, as GLMS Collective Members, each appoint two representatives to the GLMS Executive Committee. The GLMS Executive Committee comprises:

  • Mr. Friedrich Stickler, Member of the Board, Austrian Lotteries, Austria. Mr. Stickler was elected GLMS President.
  • Mr. Younes El Mechrafi, Chief Executive Office, La Marocaine des Jeux et des Sports, Morocco. Mr. El Mechrafi was elected GLMS Secretary.
  • Mr. Borut Bohinc, Head of Sports Betting Department, Sportna Loterija, Slovenia. Mr. Bohinc was elected GLMS member.


Representing the EL on the GLMS Executive Committee are:

  • Mr. Thierry Pujol, Director of Risk Management and Security - Member of the Management Board, La Française des Jeux, France. Mr. Pujol was elected GLMS Treasurer.
  • Mr. Jan Peder Stromslid, Executive Vice President Strategy and Business Development, Norsk Tipping, Norway. Mr. Stromslid was appointed GLMS Member.


Representing the WLA on the GLMS Executive Committee are:

  • Mr. Seah Chin Siong, Chief Executive Officer, Singapore Pools (Private) Limited, Singapore. Mr. Siong was elected GLMS Vice President.
  • Mr. Edmundo Dupré Echevarría, Managing Director of Polla Chilena de Beneficencia, Chile. Mr. Dupré Echevarría was appointed GLMS member.


The new GLMS Executive Committee will take charge of the association effective immediately. Technical operations for the GLMS will be situated in Copenhagen, Denmark, at the former operations center of the ELMS as soon as the GLMS is operational.

Twenty-­seven representatives of state owned/state licensed lotteries that offer sports betting from twenty-­five different nations came together to found the GLMS at the General Assembly.

Also attending the meeting were WLA President Jean-­Luc Moner-­Banet and EL President Friedrich Stickler.


Commenting on the success of the meeting WLA President Moner-­Banet stated, "This meeting demonstrates the resolve of the world lottery community to counter match-­?fixing and corruption in sports, and to unconditionally preserve the integrity of sports. As I have mentioned countless times, integrity is at the core of how our members do business. It is therefore essential that we do all we can to ensure that the Global Lottery Monitoring System is an absolute success."

Echoing Mr. Moner-­Banet's sentiments, EL President Stickler added, "This is a historical day for the global fight against match-­ fixing, as the lotteries today establish the most sophisticated monitoring system in place and I am convinced that this initiative will constitute a significant step in the on-­going fight against the phenomenon. EL and its members were the first to develop an international cooperation to be able to detect irregular betting patterns. This cooperation, which had started already in 1999, resulted in the creation of ELMS in 2009 and we are now very proud to see our European Lotteries Monitoring System (ELMS) going global".

The GLMS is set to go live on June 1, 2015 and will supersede the ELMS at that time. As previously mentioned, the GLMS will expand the ELMS to a global operation and will implement new technologies to establish the GLMS as a state-­of-­the art monitoring system.

CIBELAE Invite Delegates to the Third International Seminar on Lotteries in Mar del Plata

CIBELAE invita al Tercer Seminario Internacional de Loterías en Mar del Plata

MADRID, Spain (January 20, 2015) -- La Corporación Iberoamericana de Loterías y Apuestas de Estado (CIBELAE) together with the World Lottery Association (WLA), la Asociación de Loterías Estatales de Argentina (ALEA), and the Instituto de Lotería y Casinos de la provincia de Buenos Aires (IPLyC), announced the date and location of the "Third International Seminar Lottery Entertainment Experience".


The event will take place on 11 and 12 March, in the NH Gran Hotel Provincial, city of Mar del Plata, Argentina.

This year, the central theme will be "entertainment experience" in order to account for how gambling are part of this industry. In addition to the keynote speeches were developed in parallel conference on "lotteries, betting and outlets in Latin America" ​​and "Latin American Meeting of compliance officers."

Scientific Games Select Las Vegas as Location for Global Headquarters and Primary Gaming Manufacturing Operation

LAS VEGAS, Nevada (January 26, 2015) --  Scientific Games Corporation (NASDAQ: SGMS) ("Scientific Games" or the "Company") announced today that the Company is relocating its global corporate headquarters and establishing its Gaming Division's primary U.S. manufacturing operations at its existing facilities in Las Vegas, Nevada. Effective immediately, Scientific Games' global headquarters is located at: 6650 South El Camino Road, Las Vegas, NV 89118.

"Las Vegas is a diverse, cosmopolitan city in business friendly Nevada where we have strong roots and an extensive and growing employee base. This move will allow us to stay closely connected to our worldwide base of gaming, lottery and interactive customers.

Reflecting the Company's commitment to rapidly implement identified integration plans that are expected to drive increased efficiency and cost synergies, Scientific Games has begun to transition the WMS manufacturing operations from Waukegan, Illinois, to Las Vegas. To ensure customer needs are seamlessly maintained throughout the transition, production plans include enhancing the Company's Las Vegas operations before scaling back manufacturing operations at the Waukegan facility. Scientific Games expects all production to be transferred to the Las Vegas facilities by the summer of 2015 and anticipates closing the Waukegan facility before the end of 2015.

The Gaming Industry Keeps Flourishing in Malta

SLIEMA, Malta (January 21, 2015) -- Minister for the Economy, Investment and Small Business, Dr Chris Cardona and the Executive Chairman for the Malta Gaming Authority, Joseph Cuschieri, recently paid a visit to the offices of the online gaming Operator ‘Betclic Everest Group’ in Sliema. The delegation was welcomed by the Group’s CEO, Ms Isabelle Andrѐs.

Addressing all those present during the visit, Ms. Andres welcomed and thanked the Maltese Government and the Malta Gaming Authority for their visit and the support the Group has received locally.


The group recently relocated all its trading and finance activities from Gibraltar to Malta, following an intensive period of consultation. This decision has also led to an increase in jobs here in Malta, which is now one of the Group’s largest office locations. Save the Dates for Australasian Gaming Expo 2015

SYDNEY, Australia (January 16, 2015) -- Tuesday 11th to Thursday 13th August are the dates for the 2015 Australasian Gaming Expo Sydney Exhibition Centre @ Glebe Island Featuring more than 180 exhibitors across 15,600 square metres of exhibition space, the Australasian Gaming Expo is easily the biggest event of its type in Australia and one of the world's biggest. All indications are that the exhibition will again be full to capacity with a wide range of companies showcasing the world's best gaming and related equipment and services

Last year's Gaming Expo saw a number of changes resulting from the move to the temporary location at Glebe Island, all of which have been favourably received. Interstate visitors were particularly pleased with the free Ferry travel from Darling Harbour to Glebe Island, affording them a spectacular Sydney Harbour cruise.

BC Lottery Corporation Launch OpenBet Promote System in Match Eatery & Public House at Starlight Casino

Pioneering betting content display will drive players to

Pennsylvania Lottery’s The Daily Number, BIG 4 and Quinto to Become the PICK Family of Games; New PICK 2 Game to Launch

MIDDLETOWN, Pennsylvania (January 26, 2015) -- Pennsylvania Lottery players, get ready for the dawn of a new era: the PICK family of games will launch on Jan. 27.

  • PICK 2, a new, twice-daily draw game, will allow players to choose any two-digit number.
  • After nearly 38 years, The Daily Number – the Pennsylvania Lottery’s first daily draw game – will become PICK 3
  • BIG 4, launched in 1980, will become PICK 4.
  • Quinto, launched in 2008, will become PICK 5.


The PICK games will be played exactly like the existing games and drawn twice daily, making it easy for new and existing players to immediately understand how to play and win.

“The PICK games are ‘Easy to Say, Simple to Play’,” said Lottery Executive Director Sil Lutkewitte. “They will help to reinvigorate our draw games portfolio through a fresh, new look, a coordinated marketing strategy and new second-chance opportunities.”

The first new second-chance opportunity will take place from Feb. 2 to Feb. 26, when the Take Your Pick! Second-Chance Drawings will allow players of any PICK game to enter one of two drawings to win either a $50,000 top prize or one of 100 cash prizes of $1,000.

All PICK game tickets bearing an official entry code will be eligible for entry through the Second-Chance Prize Zone™ inside the VIP Players Club at or via the Pennsylvania Lottery’s official smartphone app.


Tickets must be entered before they are presented for prize validation and payment in order to be considered for the second-chance drawings.

To create a seamless change for regular players, advance-play tickets purchased for The Daily Number, BIG 4 and Quinto prior to Jan. 27 will be valid for play as PICK games. Although old playslips will continue to work, players will find new playslips at retailers in late January.

The Daily Number was launched on March 1, 1977, becoming the first Pennsylvania Lottery game where players picked their own numbers. BIG 4 joined the nightly drawing lineup on Nov. 22, 1980. Mid-day drawings for both games were added on Feb. 11, 2003.

Quinto, which allows players to pick five numbers, debuted on Aug. 26, 2008 with mid-day and evening drawings.

Total Winnings by Wyolotto Players Surpasses $1 Million

CHEYENNE, Wyoming (January 26, 2015) -- The Wyoming Lottery Corporation celebrated a new milestone over the weekend when the total winnings by WyoLotto players surpassed $1 million. That’s right, $1 million won by Wyoming Lottery players which is nearly double the population of the Cowboy State.

So far, 190,908 WyoLotto players have won a total of $1,025,439 since the launch of the lottery in August 2014. The largest amount won so far was $25,000 in the Jan. 20 Mega Millions drawing, followed most recently by $20,000 won in the Jan. 24 Powerball drawing.

The Florida Lottery Applauds Governor Scott’s “Keep Florida Working” Budget For Its Continued Support Of Education

TALLAHASSEE, Florida (January 28, 2015) -- Governor Rick Scott’s 2015-16 budget recommendations will enable the Florida Lottery to continue its core mission of maximizing revenues for the Educational Enhancement Trust Fund (EETF).  The Governor’s $167.6 million proposal for the Lottery underscores his support for public education in Florida.

Governor Scott said, “The Florida Lottery ranks among the top lotteries in the nation, and has provided more than $27 billion to education over the past 27 years. Every great job begins with a great education, and the transfers from the Florida Lottery help to provide our students with the opportunities they need to succeed in the classroom and beyond- which is why we have included these important investments in our ‘KEEP FLORIDA WORKING’ budget.”

In order to help the Lottery continue to grow sales and maximize revenue to education, the Governor’s budget provides:

  • $532,353 to update the agency’s information technology infrastructure
  • $120,000 for OPS positions to handle the increase in workload resulting from the Lottery’s ticket sales success over the past four years
  • $224,500 to retain a security firm to conduct a comprehensive security evaluation of the department as required by Florida Statute
  • $4.3 million to increase the Lottery’s instant ticket appropriation as required, based on the November 2014 Revenue Estimating Conference forecasts, to pay Lottery gaming vendors


With this funding, the Florida Lottery will be able to successfully continue its efforts to efficiently and effectively operate as an entrepreneurial enterprise, generating in excess of $5.6 billion a year in sales and more than $1.4 billion in revenue to education.  Governor Scott’s budget provides significant investment in education at every level and reflects his continued commitment to ensuring that Florida has a strong and competitive education system that provides its graduates with greater opportunities and better paying jobs,” said Secretary Cynthia O’Connell.

PwC Present Conclusions of Study Developed for Remote Gambling Association to Parliament

  • Change to tax system for Online sporting bets would generate €20M more revenue to the State than present plans.
  • Current Taxation plans will lead to the loss of competiveness for regulated operators and encourage consumers to use the non-regulated market;
  • The tax regime will make it harder to promote a big regulated market.
  • The PWC study concludes that the proposed system will result in a small, inefficient and unprotected market; the countries with the alternative GGR tax system were able to create larger, efficient and secure systems for consumers.


LISBON, Portugal (January 28, 2015) -- Online sporting bets would generate €20M more revenue to the State until 2018 if the taxes were based on Gross Gaming Revenue (GGR). The current proposal based on betting turnover, and the revenue the Government will receive will remain at €17 million, until 2018.


This conclusion was presented to the Commission for Economy and Public Works at the Parliament by PricewaterhouseCoopers (PwC), in a study developed for Remote Gambling Association (RGA).

To support the study “Sporting Bets Regulation in Portugal”, PwC collected and analyzed data on other European countries, according to the tributary regimes applied in each one of them and the corresponding market behavior, with especial highlight for fiscal revenue.

As observed by PwC study, the proposed model on Portuguese law chooses taxation on bet value over a GGR regime. According to the study, the former discourages the demanding of licenses and the coming of new entrants in Portugal, for the awards won’t be competitive, maintaining players in unregulated market. For the State, the biggest consequence of this scenario will be a fiscal revenue way inferior to the one expected when it was decided to regulate the online gambling market.

PwC’s analysis notes that in France, with a model identical to the Portuguese, half of the online gambling traders had left the country by the end of the first year due to the lack of profitability (18 of the total 35), which weakened the offer made to the consumers and caused a meteoric decrease of revenue to the Government.



Absorption rate at stake

Under these conditions, the ability to attract supply and clients from the unregulated to the regulated market (absorption rate) is minimal. The verified experience in other countries shows that a tributary regime based on the total amount of bets prevents market evolution and is not able to absorb more than one fourth of the market. On the contrary, GGR model increases its absorption rate over 50% (more 50% in Spain: more than 80% in Denmark), double the projected rate for Portugal under the present regime.



Consumers with less security

By analyzing the potential socioeconomic impacts of the regulation of online sporting bets in Portugal, in light of the experience and situation of other European countries, PwC’s study maintains that the present model damages the consumers for, by remaining in unregulated market, there remains no kind of juridical protection in the moment of placing and collecting the bet. Thus, there won’t exist a legal identification umbrella for the users personal data. On the other hand, there won’t be any control of addictive behavior, contrary to what happens in the traditional gambling and in regulated market of other countries.

The study concludes that the proposed system is diminished, inefficient and unprotected. The countries with a GGR model were able, in contradistinction, to create plural, efficient and protected systems.

G2S Version 3.0 Adds Important New Functionality and Simplifies Implementation, Testing, and Operations
