International Game Technology Plc Report Second Quarter 2015 Results

  • Adjusted EBITDA of $427 million and adjusted earnings per share of $0.35; GAAP earnings per share of ($0.59)
  • Pro forma adjusted EBITDA of $1.575 -$1.675 billion expected in fiscal 2015
  • Initiates quarterly cash dividend of $0.20 per ordinary share


LONDON, U.K. (August 11, 2015) -- International Game Technology PLC (“IGT”) (NYSE:IGT) today reported financial results for the second quarter and six months ended June 30, 2015. This is IGT’s inaugural earnings announcement since the combination of GTECH S.p.A. (“GTECH”) and International Game Technology (“legacy IGT”) was completed on April 7, 2015.

In a separate news release issued today, the Company’s Board of Directors initiated a quarterly cash dividend of $0.20 per ordinary share. The first cash dividend is payable on September 10, 2015 to shareholders of record as of the close of business on August 26, 2015.

We are pleased to report for the first time as a single Company,” said Marco Sala, CEO of IGT. “As anticipated, our second quarter results reflect the stable growth characteristics of our global lottery operations and a meaningful sequential improvement in our gaming operations. We have accomplished a lot in the past four months, notably organizing ourselves under a single leadership team and consolidating our manufacturing footprint. There is much more ahead of us. In this year of transformation, we will continue to focus on integration to provide a solid foundation for future growth and value creation.”

The second quarter is a major milestone for our Company, as we present our first set of financials in dollars, under U.S. GAAP,” said Alberto Fornaro, CFO of IGT. “Our adjusted operating income improved from the prior year’s level on a pro forma, constant currency basis and our financial condition remains strong. We will continue to operate with our customary, disciplined cost management and are confident in achieving our synergy targets according to plans.



Note: Pro forma is defined as the Company’s results assuming the acquisition of legacy IGT as of January 1, 2014 and excluding the impacts of purchase accounting. Adjusted operating income, adjusted EBITDA, and adjusted net income per diluted share are non-GAAP financial measures. Reconciliations of non-GAAP financial measures to the most directly comparable GAAP financial measures are provided at the end of this news release.

Comparability of Results

All figures presented in this news release are prepared under U.S. GAAP, unless noted otherwise.

As a result of the merger, a number of items affect the comparability of reported results. Reported financial information for the second quarter of 2015 includes the results of operations of GTECH for the entire period and those of legacy IGT from the date of the acquisition. Reported financial information for the second quarter of 2014 includes only GTECH operations. Pro forma figures represent the combined results of both companies in 2014.

Adjusted figures exclude the impact of purchase price amortization, restructuring expense, and certain one-time, primarily transaction-related items. Reconciliations to the most directly comparable GAAP measures are included in the tables in this news release (Available at Link Below).


Reported 2015 results were adversely impacted by the strengthening of the U.S. dollar compared to the euro; the daily average U.S. dollar to euro foreign exchange rate was 1.11 in the second quarter of 2015 compared to 1.37 in the second quarter of 2014. Constant currency changes for 2015 are calculated using the same foreign exchange rates as the corresponding 2014 period.

Management believes that referring to certain pro forma, constant currency, or adjusted measures is a more useful way to evaluate the Company’s underlying performance.

As previously announced, the Company is organized into four customer-facing segments:

* North America Gaming & Interactive includes sales to commercial customers in the U.S. and Canada, and has global responsibility for the product development, manufacturing, marketing and delivery of all Company gaming offerings, including DoubleDown Casino™ online social gaming, as well as interactive and sports betting.

* North America Lottery focuses on World Lottery Association (WLA) customers in the U.S. and Canada, and has global responsibility for the product development, marketing, and delivery of all Company lottery offerings.

* International is responsible for all business conducted outside of North America and Italy across the Company’s entire product portfolio, with specialized and separate sales and operations groups supported by North America Lottery and North America Gaming & Interactive as appropriate.

* Italy is responsible for all business conducted in Italy across the Company’s entire product portfolio. Product development, marketing, manufacturing and servicing are supported by North America Lottery and North America Gaming & Interactive as appropriate.

Overview of Consolidated Second Quarter Results


Reported consolidated revenue grew 36% to $1.29 billion from $945 million in the second quarter of 2014, reflecting GTECH’s acquisition of legacy IGT. On a pro forma, constant currency basis, consolidated revenue increased 1%, reflecting double-digit increases in the North American Lottery and International segments, partially offset by single-digit declines in the Italy and North America Gaming & Interactive segments. During the quarter, the Company sold 10,147 gaming machines worldwide and global lottery same-store revenue excluding Italy increased 7%.

On a reported basis, adjusted EBITDA of $427 million was 32% above the second quarter of 2014. On a pro forma, constant currency basis, EBITDA was in line with the prior year period. Higher global lottery profits were offset by lower gaming profits.

Reported operating income was $116 million, compared to $171 million in the second quarter of 2014. On a pro forma, constant currency basis, adjusted operating income increased 3% despite higher investment in research and development for both gaming and lottery.

Interest expense was $122 million compared to $56 million last year due to increased debt incurred to finance the legacy IGT acquisition.

Net loss attributable to IGT was $117 million in the second quarter of 2015. On an adjusted basis, net income was $70 million. The Company reported a net loss per diluted share of $0.59, but earned $0.35 per diluted share on an adjusted basis.

Cash from operations was $217 million in the first half of the year despite approximately $150 million in one-time, transaction-related costs, and capital expenditures were $167 million.

Cash and cash equivalents increased to $557 million as of June 30, 2015, compared to $503 million as of June 30, 2014.

At June 30, 2015, consolidated shareholders’ equity totaled $3.56 billion and net debt was $8.38 billion.

David Berger of Scientific Games Receives 2015 NASPL ‘Powers Award’ after Nomination by Iowa Lottery for Outstanding Performance of a Lottery Vendor Employee

LAS VEGAS AND ATLANTA (August 10, 2015) -- Scientific Games Corporation (“Scientific Games” or the “Company”) today announced that David Berger, General Manager for Iowa Lottery Systems and Services for Scientific Games, was a 2015 Powers Award recipient at the North American Association of State and Provincial Lotteries (NASPL) Professional Development Seminar held recently in Seattle, Washington.

The annual NASPL Powers Awards are presented in recognition of the significant contributions lottery vendor employees have made through exceptional job performance. This is one of the highest honors that vendor employees can receive because the nominations come directly from the lotteries that vendors serve. Berger is a nine-year veteran of the lottery industry and was nominated for the award by the Iowa Lottery.

Previously, Berger served in management roles at Gateway Computers and Philips Electronics (Netherlands). He earned a Bachelor of Science in Business Administration from Bellevue University in Nebraska and is also a licensed commercial pilot.

The Powers Awards are named in honor of the late Edward J. Powers, the “Father of all U.S. Lotteries,” and according to NASPL, a name that is synonymous with success and defines the organizational blueprint for today’s lotteries.

Each year, lottery directors and members of lottery executive management teams have the opportunity to submit nominations for Powers Awards candidates who have made outstanding contributions to lottery organizations or to the lottery industry.

Texas Lottery Operations Director Receives Top Industry Honour

These awards are named in honor of the late Edward J. The drive, commitment and integrity Powers demonstrated set the standard of excellence exhibited by lottery and vendor employees nominated for this award.

Michael Anger has served as the Texas Lottery’s director of lottery operations since March 2003. His team has been responsible for product sales delivering more than $1 billion annually in revenue transfers to the state.


He currently leads more than 130 agency employees and oversees the lottery’s strategic business planning, product development, advertising and promotions, drawings and claims processing, communication services, retailer licensing and accounting, licensee regulation, lottery operator contract monitoring, retailer development, security and consumer protection.

Since joining the Texas Lottery in 1995, Michael has served in numerous positions throughout his 20-year career with the agency including work in various aspects of claim center and games compliance operations where his work focused on program management, customer support services and the implementation of cost and operational efficiency measures.

Michael is a graduate of the University of Texas where he received a Bachelor of Business Administration.

Delaware Sports Lottery to Begin Pre-Season Wagering August 12

DOVER, Delaware (August 11, 2015) -- Are you ready for some football? The Delaware Sports Lottery will start its football preseason wagering on Wednesday, August 12, for adults 21 and older. Regular Season Pro Football wagering will begin on Wednesday, September 9.


Pro Football wagering is available at Delaware Sports Lottery retailers throughout the state and at three Sportsbooks locations: Delaware Park, Dover Downs Hotel & Casino, and Harrington Raceway & Casino.

Players who don't know what teams to pick can ask their retailers for a partial or full Quick Pick. With a Quick Pick, the Lottery will generate a ticket with teams selected at random.

"We introduced the Quick Pick in 2014, and it's been very successful in helping people who are interested in playing but don't know what teams to pick," explains Delaware Lottery Director Vernon Kirk.

Popularity of Finland’s Slot Machine Association’s Internet and Mobile Games Rising Slightly

HELSINKI, Finland (August 3, 2015) -- The popularity of Raha-automaattiyhdistys (Finland’s Slot Machine Association), which is generally referred to as RAY, online casino and mobile games has grown slightly. Whilst in the first half of 2014 approximately 6,66 per adult resident was spent on Internet and mobile games throughout Finland, for the first six months of this year the figure had risen to 6,97 euros.

Lottery Corporation's Fiscal Year 2015 Revenue Up for 5th Consecutive Year With State Transfers Over $167 Million

BATON ROUGE, Louisiana (August 13, 2015) -- The Louisiana Lottery Corporation ended its fiscal year with $453.8 million in revenue, up about $3.3 million from the previous year, making 2015 the Lottery’s second best year ever and its fifth consecutive year of growth. Resulting transfers to the state treasury for K-12 public education were more than $158 million, which was $9.3 million more than the state expected.


Also this fiscal year, the Lottery transferred an additional $9 million to the state treasury for the Louisiana Mega-Project Development Fund as part of a 2014 legislative act.

Scratch-offs were once again the shining star in the Lottery’s game portfolio, accounting for a 13 percent sales increase that compensated for dismal Powerball sales.

Powerball’s player base has grown to include every U.S. jurisdictional lottery, which means jackpots are getting hit faster and more frequently, according to Lottery President Rose Hudson.

Because Powerball sales are driven by high jackpots, a matrix change scheduled for October should help the game’s performance,” explained Hudson.

That’s icing on the cake, as the popularity of scratch-off game has exploded. I am proud of the contributions the Lottery has made to responsibly grow recurring revenue for the state while upholding the public’s trust.”

In addition to state coffers, local businesses that sell Lottery products also benefited from the Lottery in fiscal year 2015 with total retailer compensation of more than $25.2 million, which includes sales commission, incentives for cashing winning tickets and bonuses for selling winning tickets.

Fourth quarter figures for fiscal year 2015 show Lottery revenue totaled $108,154,599 with $37,854,110 being transferred to the state treasury.


The Louisiana Lottery ranks second among state lotteries in percent of revenue transferred to its government. In fiscal year 2014, 35.5 percent of Lottery revenue was transferred to the state treasury and dedicated for K-12 public education.

Nearly 53 percent of revenue was allocated to prizes for players. At least 5.5 percent was paid to retailers who sell Lottery games, and less than 6 percent was retained by the Lottery for operating costs.

The Lottery's total fiscal-year state transfers were $167,852,815. Since the Lottery began operations in 1991, more than $8.5 billion in revenue has been generated, primarily from ticket sales. More than $3 billion has been transferred to the state treasury.
