ZEAL Presents Results of the Annual General Meeting 2023

Annual General Meeting approves all agenda items with a large majority
Hamburg (May 10, 2023) — ZEAL held its AGM in Hamburg physically again yesterday after three years of virtual events due to the pandemic.
With around 77 percent of the voting capital present – including postal votes cast – the resolutions proposed by the management on all agenda items were adopted by a large majority. Besides the usual items such as the discharge of the Executive Board and the Supervisory Board and the appointment of the auditor, the agenda also included a resolution on the appropriation of net retained profits for the fiscal year 2022. Due to the positive liquidity situation of the ZEAL Group, the Executive Board and Supervisory Board had proposed a total distribution of 78 million euros to yesterday’s Annual General Meeting. This corresponds to a basic dividend for the fiscal year 2022 of one euro per share and a special dividend of 2.60 euros per share. In 2021 this figure was 2.10 euros. The payment of the special dividend will serve to optimize the capital structure, as the Company’s current capitalization exceeds its capital requirements for the undiminished continuation of its growth strategy.
Positive result of the Annual General Meeting
In addition to the approval of the compensation report and the elections to the Supervisory Board, Kenneth Chan, Managing Director of Working Capital, was appointed to the Supervisory Board by a large majority.
