Pursuant to Article 7, paragraph 3 from the Law on games of chance and fun games (“Official Gazette of the Republic of Macedonia” no. 24/11, 51/11, 148/11, 74/12 and 171/12, 27/14, 139/14, 61/15, 154/15, 23/16 and 178/16) The joint-stock company for organizing games of chance National Lottery of the Republic of North Macedonia announces the following

FOR SUBMITTING BIDS FOR THE CONCLUSION OF A BUSINESS COOPERATION AGREEMENT OF SERVIVES FOR PROVIDING A LEASE OF SOFTWARE AND ONLINE PLATFORM WITH GAME CONTENT FOR ORGANIZING ONLINE GAMES OF CHANCE

SUBJECT OF THE PUBLIC CALL

A public call is published for the submission of bids for the award of a business cooperation agreement for services for the provision of software lease and an online platform with game content for organizing online games of chance.

The subject of this agreement is services for providing a lease of software and an online platform with game content for organizing online games of chance. The software must have the possibility of a lottery platform through which lottery games of chance will be organized if the National Lottery has a need for that.

The following conditions apply to the offers for the selection of a business partner for the provision of services for the lease of software and an online platform with gaming content for organizing online games of chance of the Joint-Stock Company for organizing games of chance:

DOCUMENTATION OF THE PUBLIC CALL
All interested legal entities can pick up the documentation following the public call, which consists of tender documentation, from the National Lottery, upon payment of EUR 2,000.00 to the account of the National Lottery, namely:

– for domestic legal entities, the denar equivalent of EUR 2,000.00 at the middle exchange rate of the National Bank of the Republic of North Macedonia, on the day of payment (Depository bank NLB Tutunska banka – JSC Skopje on transaction account number 210064368460158);

– for foreign legal entities an amount of EUR 2,000.00 (Correspondent bank: NLB Tutunska banka – JSC Skopje, IBAN: MK 07210701000626140, SWIFT: TUTUNMK22).

The documentation after the public call (tender documentation) after the payment has been made can be picked up at the headquarters of the National Lottery, 18th floor in the MRTV building in Skopje, until JULY 06, 2023.
The documentation can be picked up by presenting the following: a. document for the bidder’s identity – extract from the relevant register; b. proof of payment for documentation after the public call; c. signed and certified statement of confidentiality and d. appropriate power of attorney from the bidder for the person authorized to collect the documentation.
The documents from point 3, which are not in the Macedonian language, should be translated into the Macedonian language by an authorized court translator.

III. PARTICIPATION GUARANTEE

The interested party who wants to submit a bid for awarding a contract for business cooperation for services for providing the lease of software and an online platform with game content for organizing online games of chance is obliged to submit a guarantee in the amount of at least 15,000 EUR in the form of a bank guarantee.

RIGHT TO PARTICIPATE ON THE PUBLIC CALL

Every interested domestic and foreign legal entity – bidder, which is registered to perform the activity related to the subject of the contract, has the right to submit a bid.

The bidder for the execution of the subject of this contract should independently fulfill the conditions of the public call or fulfill them together with other companies in which the business associate has a capital connection of at least 100% (company, groups of companies, subsidiaries, or legal entities established in a country that is a member of the European Union or in the Republic of North Macedonia and who will prove the same with a founding decision, an extract from a commercial or court register, or another appropriate legal act as proof of the capital connection).

The companies with which the interested bidder is capitally connected with an appropriate statement transfer the right to the business associate, as the holder of the right to fulfill the conditions of the public call.

The bidder to participate in the public call should submit proof of ownership of an e-voucher system for promotional and other purposes for the needs of DL.

The bidder within the same procedure for awarding a contract for business cooperation can only participate in one bid.

All bids will be rejected if the bidder does not meet the conditions for participation in the public call.

The bidder must meet the following general conditions:

Together with the bid, the bidder must submit supporting documentation that will prove the following:

– personal condition;

– the economic and financial situation;

– technical or professional ability;

The requested documentation is submitted in original or in a copy certified by the bidder with a stamp and signature of the responsible person, with the indication “True to the original”.

Personal condition

In order to prove personal ability, the bidder, if appearing as an independent bidder or together with capital-related companies, should fulfill the following conditions:

in the last five years, no final judgment has been issued for participation in a criminal association, corruption, evasion of taxes and contributions, terrorism or criminal offenses related to terrorist activities, money laundering and terrorist financing, and abuse of child labor and human trafficking;
that there has not been a final judgment related to providing false data in a procedure for a public tender or call, or for fraud or for a criminal offense, which refer to the arrangement or organization of games of chance;
that a secondary penalty has not been imposed, a ban on participation in a public call procedure, awarding of public procurement contracts and public private partnership contracts;
that a secondary penalty, a temporary or permanent ban on performing a separate activity, has not been imposed;
that no bankruptcy or liquidation proceedings have been opened;
that there are no unpaid taxes, contributions and other public charges, unless the bidder is approved for deferred payment of taxes, contributions and other public charges in accordance with special regulations and pays them regularly;
that no misdemeanor sanction has been imposed, a ban on the performance of a profession, activity or duty, i.e. a temporary ban on the performance of a separate activity, and
a statement that in the last five years no final judgment has been issued for participation in a criminal association, corruption, evasion of taxes and contributions, terrorism or criminal offenses related to terrorist activities, money laundering and terrorist financing, and abuse of child labor and human trafficking.

Ability to perform professional activity

To prove the ability to perform a professional activity, the bidder should be registered as a legal entity for performing the activity related to the contract in question.

Economic and financial situation

To perform this PA subject in terms of its economic and financial situation, the bidder must meet the following minimum requirements:

to have a total annual income from organizing Games of chance of at least 1.000.000 (one million) EUR in the last year, and to prove the same with revised financial report from the last business year.

Technical or professional ability

To qualify as eligible to perform the contract in question in terms of its technical or professional capacity, the bidder must meet the following requirements:

To have at least five years of experience in the development and support of software and platform for Online Games of Chance;
To have authorization for the production of gambling SW platforms, RNG and games (authorization is required for each activity) which is proven by having a licensed certificate, an official reference letter or an extract from a register, or a decision by a competent public authority;
To have an active authorization from sub-item 1, paragraph 1 of this article in at least two countries of the European Union, which is proven by having a licensed certificate, an official reference letter or extract from a register, or a decision from a competent public authority;
To align all services, products, systems and procedures according to ISO standards, with the ISO 27001:2013 standard;
To possess a tested and certified RNG by ISO/IEC 17025:2017 accredited laboratory in a country of the European Union according to ISO standards;
To have appropriate standards prescribed by the Telecommunications Industry Association (TIA)
To have provided systems for protection against fires, floods and other disasters, in accordance with standards of the type of VESDA, FM200 or similarly similar standards that guarantee protection against fires, floods and other disasters;
To have compliance with the minimum technical and functional requirements for the SW platform;
To own at least 50 functional Online Games of Chance;
To own a functional proprietary B2B gaming platform for B2C operation and management of Online Games of Chance including the elements of player registration, transaction management, bonus tools, digital marketing tools and transaction administration and control interface;
To have experience in the production and maintenance of e-tickets (e-vouchers) for Online Games of Chance;
To own an available SW for issuing and distributing e-vouchers as a deposit tool;
To own an available SW for SMS marketing and billing by a third party and
To have actively cooperated with the operator of the state-owned Games of chance for the supply and maintenance of platforms and Online Games of Chance for at least 24 months in the last three years.

The bidder who submitted a bid, in addition to the general conditions, should also fulfill special (specific) conditions.

The special (specific) conditions that must be fulfilled by the new trading company for organizing electronic games of chance derive from the provisions of the Law on games of chance and entertainment games (“Official Gazette of the Republic of North Macedonia” no. 24/11, 51/ 11, 148/11, 74/12, 171/12, 27/14, 139/14, 61/15, 154/15, 23/16 and 178/16).

The bidder must meet the following special conditions:

The bidder must meet the following special conditions:

To conclude the joint venture agreement for a period of time of at least 15 (fifteen) years;
To submit a bank guarantee for the fulfillment of the contract in the amount of EUR 120,000 (one hundred and twenty thousand euros), for a period of time that includes the duration of the contract;
To confirm that it will provide/prescribe procedures for raising the system in case of temporary non-functionality;
To provide at least two developers for software support for the entire duration of the Agreement;
To submit policy and time plan for the set up and management of the client support;
To submit an employee training policy and
To confirm that it will provide other conditions related to the safety and security of the services it bids.

CONTRACT AWARD CRITERIA

The criterion for awarding the contract, after fulfilling the general and special conditions, will be the most economically advantageous bid.

METHOD AND DEADLINE OF DELIVERY AND VALIDITY OF THE BID
The bid for awarding a contract for business cooperation for services for providing the lease of software and an online platform with game content for organizing online games of chance should be in written form in the Macedonian language.
The period of validity of the bids is 180 days from the day of submission of the bid.
The bidder encloses the original copy in a sealed inner envelope containing the name of the bidder with full and correct address.

The inner envelope is enclosed in a sealed outer envelope which:

– is addressed with the correct address of the National Lottery;

– contains the public call number;

– in the upper left corner there is a mark “Don’t open” or “Do not open”, so that it does not open before the time and date for opening the bids.

If the two envelopes are not closed and marked as required, the National Lottery does not assume responsibility for the closing or premature opening of the bid.

Bids that are opened prematurely due to non-compliance with the conditions for closing and marking them will be rejected as irregular.

The final date for submission of bids is 45 days from the day of the announcement until 11:00 local time.
The procedure following the public call for tenders is carried out by the Commission.
